Executed Counterparts. The Administrative Agent shall have received from the Borrower, Administrative Agent, the Required Lenders (as defined in the Existing Term Loan Credit Agreement) and each Revolving Lender either # a counterpart of this Agreement signed on behalf of such party or # written evidence reasonably satisfactory to the Administrative Agent (which may include electronic transmission of a signed signature page to this Agreement) that such party has signed a counterpart of this Agreement.

The Administrative Agent (or its counsel) shall have received from the Borrower, each Lender and the Administrative Agent either # a counterpart of this Agreement (which may include telecopy or electronic transmission of a signed signature page of this Agreement) signed on behalf of such party or # written evidence satisfactory to the Administrative Agent that such party has signed a counterpart of this Agreement.

The Administrative Agent (or its counsel) shall have received from each Lender, either # a counterpart of this Agreement signed on behalf of such party or parties or # written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of a signed signature page of this Agreement) that such party or parties have signed a counterpart of this Agreement.

The Administrative Agent (or its counsel) shall have received from the Borrower, the Guarantor, Extending Lenders constituting Required Lenders and from each Issuing Lender either # a counterpart of this Agreement signed on behalf of such party or # written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic image scan transmission of a signed signature page of this Agreement) that such party has signed a counterpart of this Agreement.

The Administrative Agent (or its counsel) shall have received from each of the Borrowers and the Lenders either a counterpart of this Agreement signed on behalf of such party or written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmission of a signed signature page of this Agreement) that such party has signed a counterpart of this Agreement.

The Administrative Agent (or its counsel) shall have received, with a counterpart or copy for each Lender, from each party hereto either # a counterpart of this Agreement signed on behalf of each such party or # written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of a signed signature page of this Agreement) that each such party has signed a counterpart of this Agreement.

Execution of Counterparts of Agreement. The Administrative Agent shall have received counterparts of this Agreement duly executed by the Borrowers, Holdings, the ​, and the Administrative Agent, each of which shall be an original, facsimile, or in an electronic format acceptable to the Administrative Agent (followed promptly by an original).

SECTION # Counterparts. The Administrative Agent shall have received counterparts hereof executed on behalf of the Borrower, the Guarantor and the each of the Lenders.

Counterparts. The Administrative Agent shall have received from the Required Lenders, the Borrower and the other Loan Parties executed counterparts (in such number as may be requested by the Administrative Agent) of this Amendment.

The Administrative Agent shall have received counterparts of this Agreement that, when taken together, bear the signatures of # the Initial Borrower, # Holdings, # each other Borrower, # each other Loan Party and # each Incremental Revolving Lender.
