If Executive becomes entitled to receive the Salary Continuation Payments or the Change of Control Severance Payment, as applicable, then such payment(s) will be in lieu of any other severance or similar benefits that would otherwise be payable under any other agreement, plan, program or policy of the [[Bank:Organization]] Group.

Exclusive Severance Benefits. Cash Severance Benefit. The Company will make a lump-sum cash severance payment to you in an amount equal to the sum of the following:

COBRA Severance Benefit. The Company will pay, on your behalf, on a monthly basis, the total amount of premiums required to continue your coverage under the Company’s health, dental and vision insurance plans pursuant to COBRA from the Employment Separation Date until the earliest of # the end of the twelve (12)-month period following the Employment Separation Date, # the expiration of your eligibility for such coverage pursuant to COBRA, and # the date you become eligible to enroll for coverage under a health, dental, or vision insurance plan of a subsequent employer (the “COBRA Payment Period”), provided that you elect to continue such coverage pursuant to COBRA within the time period prescribed under COBRA. Such COBRA premium payments will be inclusive of premiums for your eligible dependents for such health, dental, or vision plan coverage as in effect immediately prior to the Employment Separation Date, provided that such dependents continue to be eligible for such coverage during the COBRA Payment Period. You will be required to notify the Company immediately if you become eligible to enroll for coverage under a health, dental, or vision insurance plan of a subsequent employer during the COBRA Payment Period.

Welfare Severance Benefit. The Company will pay as a lump sum cash payment an amount equal to 140% of the cost of the Eligible Employee's monthly insurance premium as in effect in September 2017 for the Eligible Employee's cost of coverage under the Company's group health and welfare benefit plans (the "Monthly Welfare Premium"), including the cost of coverage for the Eligible Employee's eligible dependents, multiplied by the applicable number

Cash Severance Benefit. A Participant is entitled to receive the Plan’s cash severance benefit in accordance with, and subject to, the applicable provisions of this Section 5.02.

Exclusive Right to Severance. During the term hereof, the Executive shall not be eligible for severance under any other plan or policy of the Company or its Affiliates.
