Exclusions From General Release. Excluded from the General Release above are: # any claims which you may make under state workers’ compensation or unemployment laws; and # ANY RIGHTS WHICH BY LAW YOU CANNOT WAIVE, such as but not limited to the right to enforce this Agreement or to file a charge or complaint with the Equal Employment Opportunity Commission, the National Labor Relations Board, the Occupational Safety and Health Administration, the Securities Exchange Commission, or any other federal, state, or local governmental agency or commission (“Government Agencies”). You further understand that this Agreement (including the Non-Disclosure of Confidential Information and Non-Disparagement provisions in Paragraphs 13 and 15) does not limit your ability to # initiate, testify, assist, comply with a subpoena from or participate in any manner with an investigation conducted by the appropriate local, state, or federal agency; or # file or disclose any facts necessary to receive unemployment insurance, Medicaid, or other public benefits; or # communicate with any Government Agencies or otherwise participate in any investigation or proceeding that may be conducted by any Government Agency, including providing documents or other information, without notice to [[Parent:Organization]]. This Agreement also does not limit your rights to receive an award for information provided to any Government Agency.

Exclusions from General Release. Excluded from the Release are any claims or rights # that cannot be waived by law, # to indemnification from the Company pursuant to the Employment Agreement, the Company’s bylaws, or any charter provision, # to coverage under any applicable directors’ and officers’ liability insurance coverage for the Company or any affiliate, or # to file a charge with an administrative agency or participate in any agency investigation. The Executive is, however, waiving the right to recover any money in connection with a charge or investigation. The Executive is also waiving the right to recover any money in connection with a charge filed by any other individual or by the Equal Employment Opportunity Commission or any other federal or state agency.

Excluded from the general release in Section 1 are # any claims or rights that cannot be waived by law, # any claims that arise after the date this General Release is executed, # Executive’s right to file a workers’ compensation claim, and # Executive’s rights to indemnification and coverage under any applicable directors and officers liability insurance in accordance with Section 12 of the Employment Agreement. Also excluded from the General Release is Executive’s right to file a charge with an administrative agency or participate in any agency investigation. Executive is, however, waiving his right to recover any money in connection with such a charge or investigation. Except for any claims or rights that cannot be waived by law, Executive also is waiving his right to recover money in connection with a charge or legal action filed by any other individual or by the Equal Employment Opportunity Commission (EEOC) or any other federal, state or local agency. Exclusions From Release. I understand that My Claims released under this Agreement do not include any rights or claims that may arise after my execution of this Agreement or claims for any payments or benefits to which I am entitled under this Agreement. I understand I do not waive future claims. Also, I further understand that nothing in this Agreement shall in any way adversely affect whatever vested rights I may have to benefits under any retirement or other employee benefit plan or program of the Company, subject to the terms and conditions of any such plan or program, or any rights that I had prior to the Separation Date to be indemnified by the Company or to coverage under any directors and officers insurance policy and any run-off policy thereto, subject in each case to the terms and conditions of any such policy. In addition, I acknowledge that this Agreement is not intended to # prevent me from filing a charge or complaint including a challenge to the validity of this Agreement, with the Equal Employment Opportunity Commission ("EEOC"); # prevent me from participating in any investigation or proceeding conducted by the EEOC; or # establish a condition precedent or other barrier to exercising these rights. While I have the right to participate in an investigation, I understand that I am waiving my right to any monetary recovery arising from any investigation or pursuit of claim on my behalf. I acknowledge that I have the right to file a charge alleging a violation of the ADEA with any administrative agency and/or to challenge the validity of the waiver and release of any claim I might have under the ADEA without either: # repaying to the Company the amounts paid by it to me or on my behalf under this Agreement; or # paying to the Company any other monetary amounts (such as attorney's fees and/or damages).

Exclusions From Release. General Release Exclusions. This Release shall not extend to or include the following: # any rights or obligations under applicable law which cannot be waived or released pursuant to an agreement, such as the right to file a charge with or participate in an investigation by a government agency such as the Equal Employment Opportunity Commission (although you waive any right to monetary recovery should any agency pursue any claims on your behalf, except that you may receive money properly awarded by the U.S. Securities and Exchange Commission as a securities whistleblower incentive); # any rights or claims that arise after the date of this Release; # any rights I may have under [[Employer:Organization]] Holding Corp.’s, the Company’s, or any applicable affiliate’s Director’s and Officer’s insurance policy or under [[Employer:Organization]] Holding Corp.’s, the Company’s, or any applicable affiliate’s charter or by-laws; # any rights I may have under the Company’s 2007 Stock Incentive Plan for Key Employees of USF Holding Corp. and its Affiliates or any other equity plan maintained by the Company or its affiliates; # the right to enforce this Agreement; or # any rights I may have under any benefit plans maintained by the Company or its affiliates. I represent and warrant that, as of the Effective Date, I have not assigned or transferred any claims of any nature that I would otherwise have against the Company, its successors or assigns. I further agree to waive my rights under any other statute or regulation, state or federal, which provides that a general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known to him must have materially affected his settlement with the debtor.

Exclusions from General Release and ADEA Waiver. Excluded from the above General Waiver and Release and ADEA Waiver above are any rights and claims which cannot be waived by law, including the right to file a charge with or participate in an investigation or proceeding conducted by the Equal Employment Opportunity Commission. To the extent that claims not waivable by law are pursued on the Employee’s behalf, however, he agrees to waive any right to monetary recovery.

Exclusions from General Release and ADEA Waiver. Excluded from the above General Waiver and Release and ADEA Waiver above are any rights and claims which cannot be waived by law, including the right to file a charge with or participate in an investigation or proceeding conducted by the Equal Employment Opportunity Commission. To the extent that claims not waivable by law are pursued on the Employee’s behalf, however, he agrees to waive any right to monetary recovery.
