Notwithstanding any other provision of this Agreement to the contrary, the Assets to be conveyed and assigned under this Agreement do not include the Excluded Assets, all of which are reserved by Sellers.

Anything in Section 1.1 to the contrary notwithstanding, there shall be excluded from the Purchased Assets, # all cash and cash equivalents and all accounts receivable (the “Receivables”) of Seller, # Seller’s minute books and ownership records, # all Tax Returns and related work papers and all rights to the refund or credit, # all rights, title and interest of Seller in, and claims of Seller under, any Contract other than the Assumed Contracts, including the Lease, # any fixtures and leasehold improvement on the Leased Real Property, # all assets and rights of Seller in and with respect to any agreements with directors, officers, employees or independent contractors or any employee benefit plans, # all vehicles registered in the name of Seller, and # the items set forth on [Schedule 1.2(h)].

Excluded Assets. Any Liability of Seller in respect of any of the Excluded Assets (including under any Contracts or understandings related thereto and any Liability related to EPI Michigan, EPI International or EPI Iowa that is not an Assumed Liability); and

The Excluded Assets are excluded from the Purchased Assets, and shall remain the property of Seller after the Closing.
