[Section 1.01] (Defined Terms) of the Credit Agreement is hereby amended by amending and restating the definition of “Maturity Date” in its entirety as follows:

[Section 1.01] (Defined Terms) of the Credit Agreement is hereby amended by inserting the following defined terms in the correct alphabetical order:

[Section 1.1 of Schedule I] of the Loan Agreement is hereby amended by deleting the defined term “Maturity Date” in its entirety and replacing such term with the following:

[Exhibit 1.24] contains a complete and accurate list of all Patents ​, in each case ​, that are ​to research, develop, manufacture and have manufactured (in accordance with Article 5), use, offer for sale, sell, import, export, or otherwise commercialize Product (including as Combination Products);
