[Article 1.1] of the License shall be superseded and replaced with the following:

[Section 1.01] of the Financing Agreement is hereby amended by adding the following definitions in alphabetical order:

[Section 1.1] of the Credit Agreement is hereby amended by amending and restating the defined terms “LC Sublimit”, “Revolving Committed Amount” and “Revolving Credit Termination Date” in their entirety to read as follows:

[Schedule 1.1]. [Schedule 1.1] is hereby amended and restated in its entirety as set forth in Annex B hereto.

[Section 1.01] (Defined Terms). [Section 1.01] of the Credit Agreement is hereby amended by amending and restating the following definitions in their entirety as follows:

[Section 1.08] (Interest Rates; LIBOR Notification). Article I of the Credit Agreement is hereby amended to add a new [Section 1.08] as follows:

[Section 1.1] of the Loan Agreement is hereby amended by amending and restating the definitions of “Bail-In Action”, “Bail-In Registration”, “Change of Control”, “LIBOR”, “Revolver Termination Date”, and “Write-Down and Conversion Powers” to read in their entirety as follows:

[Section 1.51] of the License Agreement is hereby amended by adding “to the extent” immediately following “solely” in the first sentence.

[Exhibit 1.20].2 is hereby amended and replaced in its entirety with the following:

[Section 1.1] of the Agreement is hereby amended to add the following new defined terms:
