[Schedule 1.01(c)] sets forth a true, complete and correct list of all Real Property owned (whether in fee or through a leasehold estate under any ground lease) by Borrower and the Restricted Subsidiaries as of the Effective Date.

[Schedule 1.1] of the Existing Credit Agreement is hereby amended and restated in its entirety with Exhibit A attached hereto.

[Section 1.3] is amended by deleting the second paragraph thereof in its entirety.

[Section 1.02] is amended by adding to the end thereof a new subsection # reading as follows:

[Section 1.19A] of the Plan is hereby added to the Plan to read as follows:

[Section 1.2] of the Plan, Definitions, is hereby amended to add in alphabetical order a new definition of “Performance-Based Stock,” to read as follows:
