[Schedule 1.01] to the RFA is amended in the form attached hereto as [Annex B].

[Section 1.1] of the Loan Agreement is hereby amended by inserting the following new definitions in their proper alphabetical order:

[Section 1.1] of the Credit Agreement is hereby amended by amending and restating the Borrowing Base Utilization Grid in the definition of “Applicable Margin” therein to provide as follows:

[Section 1.8] of the Credit Agreement is hereby amended by # replacing each instance of “[Section 2.13(c)]” therein with “[Section 2.13]”; and # adding the phrase “any Benchmark Replacement or any Benchmark Replacement Conforming Changes,” immediately after the phrase “including without limitation,” in the fifth sentence therein.

[Schedule 1.01(E)] lists each Material Real Property owned by any Loan Party as of the Closing Date.

[Section 1.81] “Pain Field” of the Agreement shall be replaced with the following definition:

[Subsection 1.2(e)] of the Credit Agreement is hereby deleted.

[Section 1.01] of the Credit Agreement is hereby amended by inserting the

[Schedule 1.1] of the Credit Agreement is hereby deleted and replaced in its entirety with the new [Schedule 1.1] attached herein as Exhibit 1 to this Agreement.

[Schedule 1.9] sets forth a complete and accurate list of all [[AstraZeneca:Organization]] Patents in existence as of the Effective Date, indicating the owner or co-owners thereof (including Affiliates of [[AstraZeneca:Organization]]), if such [[AstraZeneca:Organization]] Patent is not solely owned by [[AstraZeneca:Organization]];
