“European Union” or “E.U.” means the economic, scientific, and political organization of member states known as the European Union, as its membership may be altered from time to time, and any successor thereto; provided that for the purposes of this Agreement, the European Union shall be deemed to include the United Kingdom.

Controller and European Union Representative. The Company, located at 1 Finsbury Avenue, London, [[Unknown Identifier]] [[Unknown Identifier]] United Kingdom, is the controller responsible for the processing of Participant’s personal data in connection with the Plan. The Company’s representative in the European Union is Mimecast Netherlands B.V., Stationsplein, 12-2 1211 EX, Hilversum, The Netherlands.

In order to facilitate Participant’s participation in the Plan and the administration of the Option, it will be necessary for contractual, legitimate interest and [[Organization A:Organization]] purposes for the Company (or its Affiliates or payroll administrators) to collect, hold and process certain personal data and, where required for [[Organization A:Organization]] purposes with the Participant’s freely given consent, any special category personal data about Participant. Such personal data includes, without limitation, Participant’s name, home address, telephone number, date of birth, nationality, social insurance or other identification number and job title and details of the Option and other options and awards granted, cancelled, exercised, vested, unvested or outstanding and Shares held by Participant. Participant hereby acknowledges and agrees to the Company (or its Affiliates or payroll administrators) collecting, holding and processing Participant’s personal data and transferring this data (in electronic or other form) by and among, as applicable, Participant’s employer, the Company and its Affiliates and other third parties (collectively, the “Data Recipients”) insofar as is reasonably necessary to implement, administer and manage the Plan and the Option. Participant understands that the Data Recipients will receive, possess, use, retain and transfer the data for the purposes of implementing, administering and managing the Plan and the Option. Participant understands that the data will be transferred to E*TRADE, or such other broker or third party as may be selected by the Company in the future which is assisting the Company with the implementation, administration and management of the Plan. Participant understands that the Data Recipients may be located in the United States or elsewhere, and that the Data Recipient’s country may have a different or lower standard of data privacy laws and protections than Participant’s country.

Requirements for the import of API’s into the EU

Union Activity. During the seven years preceding the Effective Date, there has not been any union activity, attempted union organization, or the threats of the same with respect to the Marketing/Retail Business.

The Union. Local Union No. 1547 is the Alaskan affiliate of the International Brotherhood of Electrical Workers. For clarity, the defined term “European Union” will continue to include any countries that may leave the European Union after the Effective Date despite their ceasing to be members of the European Union;

“European Union” means the region comprised of member states of the European Union pursuant to the Treaty on the European Union.
