The Seller shall have received a certificate from each Seller,certificate, dated as of the Closing Date and signed on its behalf by an executivea duly authorized officer of such Seller and dated the Closing Date, to the effectPurchaser, that each of the conditions set forth in [Section 7.2(03(a)] and [Section 7.2(03(b)] have been fulfilled.satisfied.
