Written Determinations. With respect to each [Section 162(m)] Award, all determinations by the Committee as to # the establishment of the performance period and performance goals with respect to the selected business criteria, # the establishment of the objective formula used to calculate the amount of cash or Stock payable, if any, based on the level of achievement of such performance goals, and # the certification of the level of performance achieved during the performance period with regard to the performance goals for each business criteria selected, shall each be made in writing.
Selection of Performance Criteria and Establishment of Performance Goals and Performance Formula; Minimum Threshold Objective. The Committee shall select the Performance Criteria and establish the related Performance Goals to be used to measure performance for a Performance Period and the Performance Formula to be used to determine what portion, if any, of an Award has been earned for the Performance Period. The Performance Criteria may be expressed in absolute terms or relate to the performance of other companies or to an index. The Committee may establish a minimum threshold objective for any Performance Goal for any Performance Period, which if not met, would result in no Award being made to any Participant with such Performance Goal for such Performance Period. For purposes of clarity, the Performance Goals established by the Committee may be (but need not be) different for each Performance Period and different Performance Goals may be applicable to different Participants.
Performance Period. Your RSUs are subject to a three-year performance period that began on and ends on (the “Performance Period”).
Performance Period. The Performance Period applicable to the Long-Term Incentive Award shall be the period set forth in the Statement of Performance Goal.
Performance Period. It is expected that the Plan will be used primarily to establish goals and awards on a quarterly and annual basis based on the fiscal year of the Company; however, the Compensation Committee may, in its discretion, establish goals and awards that cover a performance period that is shorter or longer than the Company’s fiscal year. As used in this Plan, the defined term “Performance Period” means the period of time determined by the Compensation Committee over which performance is to be measured.
The effective period of this Agreement will be from the date of execution of this Agreement and will continue until completion of the obligations established in this Agreement and [Exhibit A] (attached hereto) unless otherwise terminated in accordance with Article 14. The effective period may be extended by the mutual written consent of the parties hereto, as provided in Article 16.
Performance Period. The Performance Period is January 1, 2022 through December 31, 2024.
Performance Period. The term “Performance Period” means a period of three consecutive Company fiscal years, or such other period as the Committee designates in writing prior to granting an Award pursuant to the Plan, beginning on the date described in a Participant’s Award. The Performance Period with respect to an Award will commence at the same time as the corresponding Measurement Period for the Award. The Performance Period and Measurement Period for an Award will run for the same duration unless a Change in Control occurs during the Performance Period, in which case the Measurement Period, but not the Performance Period, will end as of the effective date of the Change in Control.
Performance Period. Performance Period means the fiscal year of the Company beginning on January 1 and ending on December 31.
The Executive is hereby awarded Performance Units with a value of $ per unit at the payment date. The Executive shall earn a percentage of the Performance Unit award upon achievement of a Performance Goal based on the Return on Invested Capital (ROIC) as a percentage of the cost of capital during the period January 1, through December 31, . ROIC is calculated by taking net income before after-tax cost of interest divided by total capital. The Performance Goal is calculated as follows:
