In connection with the commencement of your employment and subject to the approval of the Company’s Board of Directors or its Compensation Committee, you will be granted an option to purchase 75,000 shares of the Company’s Common Stock (the “Option”) , all pursuant to the Company’s 2019 Equity Incentive Plan (the “Plan”) and the Company’s standard form of Stock Option Agreement. If granted, the vesting schedule for the Option shall be as follows: 25% of the shares subject to the option will vest after twelve (12) months of your continuous service, and the remaining 75% of the shares subject to the Option will vest in equal monthly installments over the next 36 months of your continuous service, until either your Option is fully vested or your employment as CMO ends, whichever occurs first, as described in the applicable Stock Option Agreement. The exercise price per share of the Option will be determined by the Board of Directors or the Compensation Committee when the Option is granted. The Option will be subject to the terms and conditions applicable to options granted under the Plan and the applicable Stock Option Agreement.

Stock Options. [Subject to the approval of the Company’s Board of Directors or its Compensation Committee, you will be granted an option to purchase 70,000 shares of the Company’s Common Stock (the “Option”). The exercise price per share of the Option will be determined by the Board of Directors or the Compensation Committee when the Option is granted. The Option will be subject to the terms and conditions applicable to options granted under the Company’s 2018 Equity Incentive Plan, as amended (the “Plan”), as described in the Plan and the applicable notice of stock option and stock option agreement (collectively, the “Stock Option Agreement”). The Option vests and becomes exercisable with respect to 1/4th of the shares subject to the Option when you complete twelve months of continuous service as an employee or consultant (“Service”) after the vesting commencement date (as stated in the applicable Stock Option Agreement) and an additional 1/48th of the shares subject to the Option when you complete each month of continuous Service thereafter, as further described in the applicable Stock Option Agreement. For clarity, the grant of the Option does not confer any right to continue vesting or employment.

Stock Options: Subject to the approval of the Compensation Committee, you will be granted an option to purchase 120,000 shares of the Company’s Common Stock. The exercise price per share will be equal to the closing price of the Company’s Common Stock as reported on NASDAQ as of the first trading day of the month following the later of (a) your date of hire or (b) the date of approval by the Compensation Committee. The options will be subject to the terms and conditions applicable to options granted under the Company’s 2015 Stock Option and Incentive Plan (the “Plan”), as described in the Plan and the applicable stock option agreement. You will vest in 25% of the option shares after 12 months of continuous employment, and the balance will vest in equal monthly installments over the next 36 months of continuous employment, as described in the applicable stock option agreement.

Stock Options. Subject to the approval of the Company’s Board of Directors or its Compensation Committee, you will be granted an option to purchase 225,000 shares of the Company’s Common Stock (the “Option”). The exercise price per share of the Option will be determined by the Board of Directors or the Compensation Committee when the Option is granted. The Option will be subject to the terms and conditions applicable to options granted under the Company’s 2013 Stock Plan (the “Plan”) and the applicable Stock Option Agreement. You will vest in 25% of the Option shares after 12 months of continuous service with the Company, and the balance will vest in equal monthly installments over the next 36 months of continuous service, as described in the applicable Stock Option Agreement.

Stock Option. Subject to the approval of the Board or the Committee, as applicable, you will be granted an option to purchase 120,000 shares of the Company’s common stock (the “Option”). The Option will be granted under and subject to the terms and conditions of the Company’s 2018 Equity Incentive Plan (the “Plan”) and the applicable stock option agreement thereunder (collectively, the “Option Documents”). The Option will have an exercise price per share equal to the closing price per share of the Company’s common stock on the date the Option is granted. The Option will vest as to 25% of the shares subject to the Option on the one (1) year anniversary of your Start Date, and as to 1/48th of the shares subject to the Option monthly thereafter on the same day of the month as the Start Date (and if there is no corresponding day, the last day of the month) so that the Option will be fully vested and exercisable 4 years from your Start Date, for so long as you remain in service with the Company. No right to any stock will be earned or accrued until such time that vesting occurs, nor does the grant of the Option confer any right to continued vesting or employment.

Subject to approval by the Board, under the Company’s 2014 Incentive Plan (the “Plan”), the Company shall grant you an option to purchase 75,000 shares (the “Option”) of the Company’s Common Stock at fair market value as determined by the Compensation Committee as of the date of grant. The Option will be subject to the terms and conditions of the Plan and your grant agreement. Your grant agreement will include a four-year vesting schedule, under which 25 percent of your shares will vest on the first (1st) anniversary of the date of grant, and thereafter 1/48th of the Option shall vest and become exercisable each month until your Option is fully vested, in each case subject to your continued employment by the Company (or its subsidiaries).

Incentive Compensation. In addition, if you decide to join the Company, subject to approval by the Board or the Committee, following the commencement of your employment, you will be granted an option to purchase 108,240 shares of the Company’s Common Stock at an exercise price per share equal to the fair market value per share of such Common Stock on the date of grant (the “Option”). Twenty‑five percent (25%) of the shares subject to the Option shall vest on the one‑year anniversary of the commencement date of your employment (the “Vesting Commencement Date”), and 1/48th of the shares subject to the Option shall vest each month thereafter on the same day of the month as the Vesting Commencement Date (or if there is no corresponding day, on the last day of such month), subject to your continued service relationship

Stock Options. Subject to the approval of the Board or its Compensation Committee, you will be granted an option to purchase 350,000 shares of the Company’s Common Stock (the “Option”). The exercise price per share of the Option will be no less than the fair market value of a share of the Company’s Common Stock on the date of grant. The Option will be subject to the terms and conditions applicable to options granted under the Company’s stock option plan in effect at the time of the grant and the applicable stock option agreement. You will vest in 25% of the Option shares after 12 months of continuous service, and the balance will vest in equal monthly installments over the next 36 months of continuous service, as described in the applicable stock option agreement. Notwithstanding the foregoing, the Option shall also be subject to certain acceleration of vesting provisions as set forth in the Company’s Executive Severance Plan (the “Executive Severance Plan”), a copy of which is attached hereto as [Exhibit A].

5.1Options. The Company will recommend to its Compensation Committee of the Board that Employee be granted an option to purchase [##] shares of the Company’s Common Stock (“Option”). Grant of the Option is subject to the approval of the Compensation Committee. If granted, the Option shall vest over four years of Employee’s continuous service with the Company, with twenty-five percent (25%) of the shares subject to the Option grant becoming vested on the first year anniversary of the Start Date, and the remaining shares becoming vested in equal monthly installments over the following thirty-six (36) months of Employee’s continuous service. The exercise price of the Option, as well as all other matters related to the Option, will be governed by and subject to the terms and conditions set forth in the Company’s 2014 Equity Incentive Plan or 2018 Inducement Plan, and the stock option agreement Employee will be required to electronically accept.

Subject to approval by the Board, you will be granted an option to purchase 350,000 shares of the Company’s common stock, subject to the terms and conditions of the equity incentive plan and a stock option grant notice and agreement that will be provided to you. The grant agreement will include a four (4) year vesting schedule, such that 25% of the shares will vest on the first anniversary of the commencement of your employment, with the balance vesting in equal monthly installments over the subsequent thirty-six (36) months, until either your option shares are fully vested or your employment ends, whichever occurs first.

Subject to the approval of the Board or its designee, the Company will grant to you a stock option (the “Option”) for the purchase of 360,000 shares of common stock of the Company (“Common Stock”), at a price per share equal to the closing price of the Common Stock on the date of grant of such Option. The Option shall vest # as to 25% of the shares underlying the option on the one-year anniversary of your first day of employment, and # as to the remaining shares underlying the option in equal monthly installments for the next 36 months thereafter, becoming fully vested on the fourth anniversary of your first day of employment, provided that you remain employed by us on the applicable vesting date. The Option will be granted pursuant to the inducement grant exception under NASDAQ Rule 5635(c)(4) and not pursuant to the Company’s 2016 Stock Incentive Plan or any other equity incentive plan of the Company, as an inducement that is material to your entering into employment with the Company. This Option shall also be subject to such other terms and conditions of the applicable Stock Option Agreement.
