Equal Rights and Privileges. All Eligible Employees of the Company (or of any Designated Subsidiary) will have equal rights and privileges under this Plan so that this Plan qualifies as an “employee stock purchase plan” within the meaning of Section 423 of the Code or applicable Treasury Regulations thereunder. Any provision of this Plan that is inconsistent with [Section 423] or applicable Treasury Regulations will, without further act or amendment by the Company, the Board or the Administrator, be reformed to comply with the equal rights and privileges requirement of [Section 423] or applicable Treasury Regulations.

All eligible Employees will have equal rights and privileges with respect to the Plan so that the Plan qualifies as an “employee stock purchase plan” within the meaning of [Section 423] or any successor provision of the Code and related regulations. Any provision of the Plan that is inconsistent with [Section 423] or any successor provision of the Code will, without further act or amendment by the Company, be reformed to comply with the requirements of [Section 423]. This [Section 18] supersedes all other provisions in the Plan.

Equal Rights and Privileges. Notwithstanding any provision of this Plan to the contrary and in accordance with Code [Section 423], all Eligible Employees who are granted options under this Plan shall have the same rights and privileges.

Equal Rights and Privileges. All Eligible Employees of the Company (or of any Designated Subsidiary) granted Options pursuant to an Offering under the [Section 423] Component shall have equal rights and privileges under this Plan to the extent required under Section 423 of the Code or the regulations promulgated thereunder so that the [Section 423] Component qualifies as an “employee stock purchase plan” within the meaning of Section 423 of the Code or the Treasury Regulations thereunder. Any provision of the [Section 423] Component that is inconsistent with Section 423 of the Code or the Treasury Regulations thereunder shall, without further act or amendment by the Company or the Board, be reformed to comply with the equal rights and privileges requirement of Section 423 of the Code. Eligible Employees participating in the Non-[Section 423] Component need not have the same rights and privileges as Eligible Employees participating in the [Section 423] Component.

Any provision of this Plan which is inconsistent with [Section 423] or any successor provision of the Code will, without further act or amendment by the Company or the Committee, be reformed to comply with the requirements of [Section 423] (unless such provision applies exclusively to options granted under the Plan that are not intended to comply with the Code [Section 423] requirements). This Section 19 will take precedence over all other provisions in this Plan.
