Protect, defend, indemnify, reimburse and hold Lender harmless for, from and against all claims of every kind, known or unknown, foreseeable or unforeseeable, which are imposed upon, asserted against or incurred or paid by Lender at any time, arising out of or in any way connected with # the Loan, # the Collateral, # any Loan Document, # bodily injury, death, or property damage occurring in, upon or adjacent to the Borrower’s property, through any cause whatsoever, # Lender's exercise of remedies under the Loan Documents, # any act performed or omitted to be performed by Lender under any Loan Document,

Borrower shall protect, defend, indemnify, reimburse and hold each Indemnified Party harmless for, from and against all Claims of every kind, known or unknown, foreseeable or unforeseeable, which may be imposed upon, asserted against or incurred or paid by an Indemnified Party at any time, arising out of or in any way connected with # the Loan, # the Collateral, # any Loan Document, # any act performed or omitted to be performed by any Indemnified Party under any Loan Document, # any Event of Default, # any claim by a Governmental Authority for any Taxes, or # Borrower violation of Applicable Law, INCLUDING ANY claims ACTUALLY OR ALLEGEDLY ARISING FROM THE ORDINARY, CONTRIBUTORY, COMPARATIVE OR SOLE NEGLIGENCE, OR STRICT LIABILITY, OF ANY INDEMNIFIED PARTY, except to the extent a court of competent jurisdiction determines in a final, non-appealable judgment that the Claims actually arose from the Indemnified Party's gross negligence or intentional misconduct.
