The Borrower or any of its Subsidiaries shall # be the subject of any proceeding or investigation pertaining to the release by ​,the Borrower, any of its Subsidiaries or any other Person of any toxic or hazardous waste or substance into the environmentenvironment, or # violate any Environmental Law, which, in the case of an event described in the [foregoing [clause (i)] or [clause (ii)])]])], could reasonably be expected to result in liability, individually or in the aggregate, havinghave a Material Adverse Effect.

Section # The Borrower or any of its Subsidiaries shall # be the subject of any proceeding or investigationproceedings pertaining to the release by ​,the Borrower or any of its SubsidiariesSubsidiaries, or any other Person of any toxic or hazardous waste or substance into the environmentenvironment, or # violateto any Environmental Law, which, in the caseviolation of an event described in the [foregoing [clause (i)any federal, state or (ii)])]])],local environmental, health or safety law or regulation, which if adversely determined could reasonably be expected to result in liability, individuallytotal liability to the Borrower or any of its Subsidiaries, in the aggregate, havingin excess of a Material Adverse Effect.Substantial Portion.

Environmental. As soon as possible and in any event within 15 days after receipt by ​, a copy of # any notice or claim to the effect that ​ or any of its Subsidiaries shall #is or may be the subjectliable to any Person as a result of any proceeding or investigation pertaining to the release by ​, any of its SubsidiariesSubsidiaries, or any other Person of any toxic or hazardous waste or substance into the environment orand # violateany notice alleging any violation of any Environmental Law,Law by ​ or any of its Subsidiaries, which, in the case of an event described in the [foregoing [clause (i) or (ii)])]])],either case, could reasonably be expected to result in liability, individually or in the aggregate, havinghave a Material Adverse Effect.

Environmental Matters. In the ordinary course of its business, ​ considers the effect of Environmental Laws on the business of ​ and its Subsidiaries, in the course of which it identifies and evaluates potential risks and liabilities accruing to ​ due to Environmental Laws. On the basis of this consideration, ​ has concluded that Environmental Laws cannot reasonably be expected to result in liability, individually or in the aggregate, having a Material Adverse Effect. Neither ​ nor any Subsidiary has received any notice to the effect that its operations are not in material compliance with any of its Subsidiaries shall # bethe requirements of applicable Environmental Laws or are the subject of any proceedingfederal or state investigation pertainingevaluating whether any remedial action is needed to therespond to a release by ​, any of its Subsidiaries or any other Person of any toxic or hazardous waste or substance into the environmentenvironment, which non-compliance or # violate any Environmental Law, which, in the case of an event described in the [foregoing [clause (i) or (ii)])]])],remedial action could reasonably be expected to result in liability, individually or in the aggregate, having a Material Adverse Effect.
