Environmental. As soon as possible and in any event within 15 days after receipt by the Company, a copy of # any notice or claim to the effect that the Company or any of its Subsidiaries is or may be liable to any Person as a result of the Release by the Company, any of its Subsidiaries, or any other Person of any Contaminant into the environment and # any notice alleging any violation of any Environmental Law by the Company or any of its Subsidiaries, which, in either case, could reasonably be expected to have a Material Adverse Effect;

As soon as practicable and in any event within ten (10) days after receipt by the Borrower, a copy of # any notice or claim to the effect that the Borrower or any of its Subsidiaries is or may be liable to any Person as a result of the release by the Borrower, any of its Subsidiaries, or any other Person of any toxic or hazardous waste or substance into the environment, and # any notice alleging any violation of any federal, state or local environmental, health or safety law or regulation by the Borrower or any of its Subsidiaries, which, in either case, could reasonably be expected to have a Material Adverse Effect.

As soon as possible, and in any event within 60 days, after receipt by [[Organization A:Organization]] a copy of # any notice or claim to the effect that [[Organization A:Organization]] or any of its Subsidiaries is or may be liable to any Person as a result of the release by [[Organization A:Organization]], any of its Subsidiaries, or any other Person of any toxic or hazardous waste or substance into the environment, and # any notice alleging any violation of any federal, state or local environmental, health or safety law or regulation by [[Organization A:Organization]] or any of its Subsidiaries, which, in either case, could be reasonably expected to have a Material Adverse Effect; provided that if [[Organization A:Organization]] is then a “registrant” within the meaning of Rule 1-01 of Regulation S-X of the SEC, [[Organization A:Organization]]’s report on a Form 10-K, a Form 10-Q or any Form 8-K that contains information related to the matters described in clauses (i) or (ii) shall be deemed notice under this clause (d).

The Borrower may satisfy any such notice requirement by delivering to the Administrative Agent a copy of the Borrower’s report on Form 8-K describing such event, promptly following filing thereof with the SEC.
