Affiliate means a legal entity which Controls, or is Controlled by, or which is Controlled by an entity which Controls, a Party.

Affiliate means- a legalbusiness entity which Controls,now or is Controlledhereafter controlled by, controlling or which is Controlled byunder common control with a Party. Control exists when an entity which Controls, a Party.owns or controls directly or indirectly 50% or more of the outstanding equity representing the right to vote for the election of directors or other managing authority of another entity.

"Affiliate" means, with respect to any Entity, any Entity that, directly or indirectly through one or more intermediaries, controls, is Controlled by,controlled by or which is Controlled by an entity which Controls, a Party.under common control with, such Entity.
