This Plan was adopted and is maintained with the understanding that it is an unfunded plan maintained primarily for the purpose of providing deferred compensation for a select group of management or highly compensated employees as provided in [section 201(2)], [section 301(a)(3)] and [section 401(a)(1)] of ERISA. This Plan shall be interpreted and administered accordingly.
