Lease Term. The “First Floor Expansion Premises Commencement Date” shall mean the date on which Landlord tenders the First Floor Expansion Premises for possession to Tenant in the following condition (the “Delivery Condition”): # the First Floor Expansion Premises are vacant, broom-clean and free of all tenants and occupants; # the Landlord’s First Floor Expansion Premises TI Work (as defined in the Work Letter attached to this Amendment as [Exhibit D], First Amendment and incorporated herein by this reference (the “Work Letter”)) has been Substantially Completed (as hereinafter defined), and # all Building Systems serving the First Floor Expansion Premises are in good working order and suitable for laboratory uses. Effective as of the First Floor Expansion Premises Commencement Date, the Term of the Lease with respect to the First Floor Expansion Premises shall commence. Without limiting or detracting from the effectiveness of said date, promptly after the occurrence of the First Floor Expansion Premises Commencement Date, upon the request of either party, Landlord and Tenant shall enter into a mutually-satisfactory commencement date agreement substantially in the form attached to the Existing Lease as [Exhibit B] confirming the First Floor Expansion Premises Commencement Date. From and after the First Floor Expansion Premises Commencement Date, except as expressly set forth in this Amendment, each reference contained in the Existing Lease to the “Premises” shall be considered to be a reference to the Existing Premises and the First Floor Expansion Premises, collectively. The First Floor Expansion Premises Commencement Date is anticipated to occur on October 1, 2021.

Lease Term. The terms and provisions of this Lease shall be effective as of the Execution Date. The term of this Lease (the "Lease Term") shall be as set forth in Section 3.1 of the Summary, shall commence on the date set forth in Section 3.2 of the Summary (the "Rent Commencement Date"), and shall terminate on the date set forth in Section 3.3 of the Summary (the "Lease Expiration Date") unless this Lease is sooner terminated as hereinafter provided. For purposes of this Lease, the term "Lease Year" shall mean each consecutive twelve (12) month period during the Lease Term. At any time during the Lease Term, Landlord may deliver to Tenant a notice in the form as set forth in Exhibit C, attached hereto, as a confirmation only of the information set forth therein, which Tenant shall execute and return to Landlord within ten (10) business days of receipt thereof. Tenant shall have the right to occupy the Premises (or certain portions of the Premises) to conduct its business prior to the Rent Commencement Date, provided that # Tenant shall give Landlord at least three (3) business days' prior notice of

Notwithstanding the foregoing, if Landlord has not delivered possession of the 2nd and 3rd floor portions of the Premises in the condition required by Section 1.1.1, above, # on or before September 15, 2023, then, as Tenant’s sole remedy for such delay, the date Tenant is otherwise obligated to commence payment of rent shall be delayed by one day for each day that the delivery date is delayed beyond such date, or # on or before December 15, 2023, then, Tenant shall also have the right to terminate this Lease by written notice thereof to Landlord, whereupon any monies previously paid by Tenant to Landlord shall be reimbursed to Tenant. The foregoing dates shall be extended to the extent of any delays in delivery of possession caused by # Tenant Delay, as provided in [Section 1(j)] of the Tenant Work Letter, or # war, terrorism, acts of God, natural disaster, civil unrest, governmental strike or area-wide or industry-wide labor disputes, inability to obtain services, labor, or materials or reasonable substitutes therefor, delays due to utility companies that are not the result of any action or inaction of Landlord, actual or threatened public health emergency (including, without limitation, epidemic, pandemic, famine, disease, plague, quarantine, and other significant public health risk), governmental edicts, actions, declarations or quarantines by a governmental entity or health organization (including, without limitation, any shelter-in-place orders, stay at home orders or any restrictions on travel related thereto that preclude Tenant, its agents, contractors or its employees from accessing the Premises, national or regional emergency) (provided that any such delay in this item # shall not extend any such date by more than ninety (90) days).

A failure of either party to deliver or execute such notice shall not affect or modify the Lease Commencement Date, the Lease Expiration Date, or any other term of this Lease.

Lease Term. [Section 1.18] of the Lease and [Section J] of the Summary of Basic Lease Terms are hereby amended to provide that the Lease Term is extended for a period of twelve (12) months (the “Extension Term”) commencing January 1, 2021 (the “Extension Term Commencement Date”) and ending December 31, 2021 (the “Extension Term Expiration Date”). Tenant acknowledges that it has no options to extend the Lease Term.

Lease Term. Landlord and Tenant acknowledge and agree that the term of the Lease with respect to the Expansion Premises shall be the time period commencing on the Expansion Effective Date and expiring on June 30, 2027 (the “Expansion Term”). The term of the Lease with respect to the Existing Premises is hereby extended to expire simultaneously with the Expansion Term.
