Entire Agreement. This Letter Agreement contains and comprises the entire understanding and agreement between you and the Company and fully supersedes any and all prior agreements or understandings between you and the Company with respect to the subject matter contained herein, and may be amended only by a writing signed by you and a duly authorized officer of the Company.

Entire Agreement. This letter constitutes the entire agreement between you and the Company with respect to the subject matter hereof, and supersedes any other agreements or promises made to you by the Company or any of its directors, officers or representatives. This letter may only be modified in a writing signed by a duly authorized officer of the Company and by you.

Entire Agreement. This Letter Agreement constitutes the entire agreement and understanding of the parties with respect to the subject matter of this Letter Agreement, and supersedes any and all prior understandings, agreements, whether oral or written, between or among the parties hereto with respect to the specific subject matter hereof.

Entire Agreement. This letter constitutes the entire agreement and understanding between you and the Company with respect to the subject matter hereof and terminates and supersedes any and all prior agreements, understandings and representations, whether written or oral, by or between you and the Company which may have related to the subject matter hereof in any way, any of which are hereby terminated and cancelled and of no further force or effect without the payment of any consideration by or to either you or the Company.

Entire Agreement. Except as otherwise stated herein, this Letter Agreement will supersede and nullify any previous written or oral agreements between the Company and you dealing with the same subject matter contained herein and will settle and compromise any and all claims and/or causes of action based on any previous written or oral agreements or alleged agreements between the Company and you. This Letter Agreement may not be modified except by a written agreement between the parties that specifically references the Letter Agreement.

This Letter Agreement contains the entire understanding between the Company and you with respect to the matters referenced herein. This Letter Agreement may not be amended or modified except by an express written agreement signed by you and a duly authorized officer of the Company. The terms of this Letter Agreement and the resolution of any disputes will be governed by the laws of the State of New York, as applied to agreements entered into and wholly performed within such State.

This Letter Agreement constitutes the entire agreement and understanding of the parties hereto in respect of the subject matter hereof and supersedes all prior understandings, agreements, or representations by or among the parties hereto, written or oral, to the extent they relate in any way to the subject matter hereof or the transactions contemplated hereby. This Letter Agreement may not be changed, amended, modified or waived (other than to correct a typographical error) as to any particular provision, except by a written instrument executed by all parties hereto.

Entire Agreement. This Agreement contains the entire Agreement between the Company and myself relating to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, correspondence, understandings and agreements between us relating to the subject matter hereof. This Agreement may be modified or amended only by mutual written consent of the parties.

This letter agreement constitutes the entire agreement between the parties with regard to the subject matter hereof. This letter agreement supersedes all prior negotiations, understandings and agreements between the parties hereto with respect to the subject matter hereof, and each party acknowledges and agrees that it has not relied on any representations or promises in connection with this letter agreement not contained herein.
