No statement, representation, warranty, covenant or agreement not expressly set forth in this Agreement shall affect or be used to interpret, change or restrict the express or implied, not stated or incorporatedterms and provisions of this Agreement provided, however, in any event, this Agreement shall be subject to and governed by reference herein, shall bind either party hereto.the Plan.
