Entire Agreement. This Agreement sets forth the entire understanding of the Corporation and Executive with respect to its subject matter, merges and supersedes all prior and contemporaneous understandings with respect to its subject matter, and may not be waived or modified, in whole or in part, except by a writing signed by each of the parties hereto.

It supersedes any and Executiveall other agreements, either oral or in writing, between the parties hereto with respect to its subject matter, mergesthe matters covered herein, including, without limitation, the Prior Agreement. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, oral or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and supersedes all priorthat no other agreement, statement, or promise relating to the matters covered herein and contemporaneous understandings with respect to its subject matter, andnot contained in this Agreement shall be valid or binding. This Agreement may not be waivedmodified or modified,amended by oral agreement, but only by any agreement in whole or in part, except by a writing signed by eachan authorized officer of the parties hereto.Company and the Executive.

The Corporation and Executive with respectacknowledge that this Agreement contains the full and complete agreement between and among them, that there are no oral or implied agreements or other modifications relating to itsthe same subject matter, mergesmatter and that this Agreement supersedes all prior and contemporaneous understandings with respectterminates any other written or oral agreement between the parties relating to itsthe same subject matter, andmatter not specifically set forth herein. The parties further agree that no modifications of this Agreement may not be waived or modified, in whole or in part,made except by means of a writingwritten agreement or memorandum signed by each of the parties hereto.both parties.

This Agreement sets forthconstitutes and embodies the entirefull and complete understanding and agreement of the Corporation and Executiveparties with respect to its subject matter, merges and supersedesthe Executive’s employment by the Corporation, supersedes, as of the Effective Date, all prior understandings and contemporaneous understandingsagreements, whether oral or written, between the Executive and the Corporation with respect to its subject matter,such employment, including but not limited to, the Prior Agreement, and mayshall not be waivedamended, modified, or modified, in whole or in part,changed except by an instrument in writing executed by the party to be charged. The invalidity or partial invalidity of one or more provisions of this Agreement shall not invalidate any other provision of this Agreement. No waiver by either party of any provision or condition to be performed shall be deemed a writing signed by eachwaiver of similar or dissimilar provisions or conditions at the parties hereto.same time or any prior or subsequent time.
