Entire Agreement; Amendment. This Agreement constitutes the entire agreement between the Company and the Executive with respect to the subject matter described herein and replaces all prior communications, agreements, and understandings, written or oral, with respect to any such bonus. This Agreement may not be amended or modified except in a writing signed by the Company and the Executive.

This Agreement maythe employment or remuneration of the Executive not specifically contemplated hereby or incorporated or merged herein are hereby terminated and shall be amendedof no further force or modified except in a writing signed by the Company and the Executive.effect.

This Agreement constitutescomprises the entire agreement between the parties hereto relating to the subject matter hereof and as of the Commencement Date, supersedes, cancels and annuls all previous agreements between the Company (and/or its predecessors) and the Executive, as the same may have been amended or modified, and any right of the Executive thereunder other than for compensation accrued thereunder as of the date hereof, and supersedes, cancels and annuls all other prior written and oral agreements between the Executive and the Company or any predecessor to the Company. The terms of this Agreement are intended by the parties to be the final expression of their agreement with respect to the subject matter described herein and replaces all prior communications, agreements, and understandings, written or oral, with respect to any such bonus. This Agreement may not be amended or modified except in a writing signedemployment of the Executive by the Company and the Executive.may not be contradicted by evidence of any prior or contemporaneous agreement.

This Agreement constitutes the entire agreement between the Company and the Executiveparties with respect to the subject matter described hereinhereof and replacessupersedes all prior communications, agreements, and understandings,negotiations, representations or proposals, whether written or oral, with respect to any such bonus.oral. Articles 3 and 4 of this Agreement shall survive the Executive.termination of Executive's employment with the Company, except as otherwise specifically stated therein.
