Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and supersedes all understandings and arrangements, whether oral or written, between the parties hereto with respect to such subject matter, including the Change in Control Severance Protection Agreement by and between the Company and the Executive dated as of ​.

Entire Agreement. This Agreement constitutesis the entire agreement of the parties with respect to its subject matter and supersedes and replaces all other negotiations, discussions and prior or contemporaneous agreements between the parties heretoparties, whether oral or written, with respect to the subject matter hereofof Executive’s employment with Company. For avoidance of doubt, this Agreement supersedes and supersedes all understandings and arrangements, whether oral or written, between the parties heretoreplaces Executive’s Change of Control Agreement with respect to such subject matter, including the Change in Control Severance Protection Agreement by and between the Company and the Executive dated as of ​.​.

This Agreement constitutes the entire agreement and understanding between the parties hereto with respect to the subject matter hereof andand, as of the Effective Date, supersedes all understandingsprior agreements and arrangements,understandings, whether oralwritten or written, between the parties hereto with respectoral, relating to such subject matter, includingmatter. For the avoidance of doubt, nothing in this Agreement limits, expands or otherwise amends the terms of the Change in Control Severance Protection Agreement by and between the Company and the Executive dated as of ​.Compensation Agreement.

This Agreement constitutesand the plans and agreements described in [Section 5(b)] contain the entire agreementtransaction between the parties hereto with respectparties, and there are no other representations, warranties, conditions or agreements relating to the subject matter hereof andthereof. This Agreement hereby supersedes all understandings and arrangements, whether oral or written, between the parties hereto with respect to such subject matter, including theany prior Change in Control Severance Protection Agreement by and between the CompanyExecutive and the Executive dated as of ​.Company.

Entire Agreement. This Agreement constitutesand the Confidentiality and Proprietary Rights Agreements incorporated herein by reference together constitute the entire agreement between the parties hereto within respect toof the subject matter hereofcontained herein and supersedestherein and supersede all understandingsprior or simultaneous representations, discussions, negotiations, and arrangements,agreements, whether oralwritten or written, between the parties hereto with respect to such subject matter, including the Changeoral, including, without limitation, any previous severance agreement or change in Control Severance Protection Agreement by andcontrol severance agreement between the Company (or any of the Company’s Subsidiaries) and Executive (including, without limitation, the Executive dated as of ​.Legacy Agreements).

Entire Agreement. This Agreement constitutessets forth the entire agreement betweenof the parties hereto in respect of the subject matter contained herein and supersedes the provisions of all prior agreements (including any prior Change in Control Agreement between the parties), promises, covenants, arrangements, communications, representations or warranties, whether oral or written, by any officer, employee or representative of any party hereof with respect to the subject matter contained herein. No agreements or representations, oral or otherwise, express or implied, with respect to the subject matter hereof and supersedeshave been made by either party which are not expressly set forth in this Agreement. Notwithstanding anything to the contrary in this Agreement, the procedural provisions of this Agreement shall apply to all understandings and arrangements, whether oral or written, between the parties hereto with respect to such subject matter, including thebenefits payable as a result of a Change in Control Severance Protection(or other change in control). In the event that the terms of this Agreement by and betweenconflict with the Company andterms of any equity award agreement or equity incentive plan governing any such equity award, the Executive dated asterms of ​.this Agreement shall control.

This Agreement constitutescontains the entire agreement between the parties heretoCompany and Executive with respect to the subject matter hereof and, from and supersedes all understandings and arrangements, whether oralafter the Effective Date, this Agreement shall supersede any other agreement (oral or written, between the parties hereto with respect to such subject matter, including the Change in Control Severance Protection Agreement by andwritten) between the Company and Executive with respect to the Executive dated as of ​.subject matter hereof.
