Validity of Loan Documents; Enforceability. This Agreement and the other Loan Documents to which Borrower is a party have been duly authorized, executed and delivered by Borrower and constitute the legal, valid and binding obligation of Borrower, enforceable against Borrower in accordance with their respective terms, except as such enforcement may be limited by Debtor Relief Laws and by general principles of equity. The Loan Documents are not subject to any right of rescission, set-off, counterclaim or defense by Borrower, nor would the operation of any of the terms of the Loan Documents, or the exercise of any right thereunder, render the Loan Documents unenforceable (except as such enforcement may be limited by Debtor Relief Laws and by general principles of equity).

Enforceability of Facility Documents. Each of this Agreement, the Sale and Contribution Agreement and each other Facility Document to be delivered by the Borrower in connection herewith, constitutes the legal, valid and binding obligation of the Borrower enforceable against the Borrower in accordance with its terms, subject to the Enforceability Exceptions.

Loan Documents. This Amendment shall constitute a Loan Document.

Loan Documents. The Administrative Agent (or its counsel) shall have received reasonably satisfactory evidence that the Loan Documents have been executed and are in full force and effect, and that the initial sales and contributions contemplated by the Sale Agreement shall have been consummated in accordance with the terms thereof.

Loan Documents. Executed counterparts of this Agreement and the other Loan Documents, each properly executed by a Responsible Officer of the signing Loan Party and, in the case of this Agreement, by each Lender.

Loan Documents. This Agreement is a Loan Document.

Loan Documents. The Administrative Agent shall have received # this Agreement, executed and delivered by the Administrative Agent, the Borrowers and each Person listed on [Schedule 1].1A, # the US Guarantee Agreement, executed and delivered by the US Borrowers and each Wholly-Owned Domestic Subsidiary of the US Borrowers that is not an Insignificant Subsidiary and # the Foreign Guarantee Agreement, executed and delivered by the Initial Canadian Borrowers, the Initial Swedish Borrower and each Wholly-Owned Foreign Subsidiary that is # organized in an Initial Borrower Foreign Jurisdiction (other than, for the avoidance of doubt, Spain or any jurisdiction in Spain) and # not an Insignificant Subsidiary.

Loan Documents. The Administrative Agent shall have received this Amendment, executed and delivered by the Specified Refinancing Lender, the Administrative Agent and each Loan Party.
