All documentation and sales records maintained by Ultimate Energy in connection with the Business, including all customer lists and goodwill of Ultimate Energy with respect to the Business.

•The Energy Benefit Liabilities are the benefits and liabilities under the Plan for # active employees of GE Energy, and # most former employees of General Electric Company’s energy business, in each case as determined by General Electric Company in its sole discretion and identified on a list maintained in the records of General Electric Company.

No Purchaser shall be entitled to set off against any payment required to be made by it under this Agreement # any amounts owed by System Energy to any Purchaser or # the amount of any claim by any Purchaser against System Energy. The foregoing, however, shall not affect in any other way the rights and remedies of any Purchaser with respect to any such amounts owed to any Purchaser by System Energy or any such claim by any Purchaser against System Energy.

Position and Duties. Beginning on the Effective Date, Executive shall serve as the Chief Executive Officer of the Oncor Entities which, after the Effective Date, will be wholly-owned subsidiaries of NextEra Energy, Inc. (“NextEra Energy”), and shall have the normal duties, responsibilities and authority of similarly situated senior executives of NextEra Energy. Executive shall report to the Chief Executive Officer of NextEra Energy, who may expand or change such duties, responsibilities and authority, either generally or in specific instances.
