. The Company agrees to employ the Employee and the Employee agrees to commence employment with the Company, upon the terms and subject [[Organization A:Organization]] conditions provided under this Agreement. During the Employment Term (as defined in [Section 2]), the Employee will serve the Company as its Vice President and Chief Accounting Officer. In the Employee’s capacity as Vice President and Chief Accounting Officer, the Employee will report [[Organization A:Organization]] Chief Financial Officer of the Company (the “CFO”) and otherwise will be subject [[Organization A:Organization]] direction and control of the CFO, and the Employee will have such duties, responsibilities and authorities as may be assigned [[Organization A:Organization]] Employee by the CFO from time to time [[Organization A:Organization]] extent consistent with Employee’s position as the chief accounting officer in a publicly traded company comparable [[Organization A:Organization]].

Each Lender, other than Cerberus, that is designated (on the cover page of this Agreement or otherwise) by Cerberus as an "Arranger," "Bookrunner" or "Agent" of any type shall have no right, power or duty under any Loan Documents other than those applicable to all Lenders, and shall in no event have any fiduciary duty to any Secured Party.

In such capacity, the Employee will report to the Chief Executive Officer of the Company (the “CEO”) or such position designated by the CEO and otherwise will be subject to the direction and control of the CEO or such position designated by the CEO, and the Employee will have such duties, responsibilities and authorities as may be assigned to the Employee by the CEO or such position designated by the CEO from time to time to the extent consistent with Employee’s position as Senior Vice President and Chief Financial Officer in a publicly traded company comparable to the Company.

Employment, Duties, Reporting. The Company does hereby engage and employ the Executive to render services to the Company as its Chief Executive Officer. The Executive shall perform such other duties consistent with such position or as may be assigned to the Executive by the Board of Directors of the Company (the “Board”), to whom the Executive shall report. The Executive’s business development duties will include but not be limited to: # assist management of the Company’s three (3) existing businesses, Faneuil Inc. (“Faneuil”), Floors-N-More LLC (“Carpets”) and Phoenix Color Corp. (“Phoenix”, and together with Faneuil and Carpets, the “Legacy Businesses”), in the growth of their earnings, # to source and acquire new businesses for the Company (the “New Businesses”) and # such other duties as the Compensation, Nominating and Corporate Governance Committee (the “CNCG Committee”) of the Board may deem appropriate consistent with the Executive’s position. The Executive hereby agrees to render the services described above. During the Term (as defined below), the Executive agrees to serve the Company faithfully and to the best of the Executive’s ability and to use the Executive’s best efforts, skill and ability to promote the Company’s interests.
