Employment Term. The Company shall employ Executive, and Executive hereby accepts such employment with the Company, upon the terms and conditions set forth in this Agreement, for the period commencing as of the Effective Date and continuing for two (2) years following the Effective Date (the “Initial Term”) unless extended or terminated as provided herein. This Agreement shall automatically renew at the end of Initial Term for an additional one (1) year period and, thereafter, for successive one (1) year periods (each a “Renewal Term”), unless written notice of nonrenewal is given by either party to this Agreement no less than 60 days prior to the Renewal Date (the Initial Term and each Renewal Term are referred to separately as the “Employment Period”). Additionally, the Employment Period # shall automatically terminate upon # Executive’s death, # the Board’s reasonable determination of Executive’s Disability, # may be terminated by the Company at any time for any or no reason by giving Executive written notice of such termination, or # may be terminated by the Executive with 60 days advance written notice to the Company. The date that the Employment Period terminates for any or no reason is referred to herein as the “Termination Date.”

Employment Term.EMPLOYMENT. The Company shall employ Executive,hereby re-appoints the Executive to the Position, and the Executive hereby accepts such re-appointment and employment with the Company, uponCompany subject to the terms and conditions set forth in this Agreement,Agreement. Subject to earlier termination in accordance with Section 4 below, this Agreement shall continue in effect for thea period of thirty-six (36) months commencing as of the Effective Date and continuing for two (2) years followingfrom the Effective Date (the “Initial Term”) unless extended. Upon the expiration of the Initial Term or terminated as provided herein. Thisany Renewal Period (as hereafter described), the term of Executive’s employment under this Agreement shall automatically renew at the end of Initial Termbe extended for an additional one (1) yearthirty-six (36) month period and, thereafter, for successive one (1) year periods (each a(a “Renewal Term”Period”), subject to earlier termination in accordance with Section 4 below, unless written notice of nonrenewal is given by either the Company or the Executive notifies the other party to this Agreement no less than 60in writing at least thirty (30) days prior to the Renewal Date (theexpiration of the Initial Term and eachor the then current Renewal Term are referred to separately as the “Employment Period”). Additionally, the Employment Period # shall automatically terminate upon # Executive’s death, # the Board’s reasonable determination of Executive’s Disability, # may be terminated by the Company at any time for any or no reason by giving Executive written notice of such termination, or # may be terminated by the Executive with 60 days advance written notice to the Company. The date that the Employment Period terminates for any or no reason is referred to herein as the “Termination Date.” (as defined in Section 2) shall not be extended upon such expiration.

Employment Term. TheTerm of Employment. Subject to the terms of this Agreement, the Company shall employ Executive, and Executive hereby accepts such employment withshall serve the Company, uponCompany for a continuous term beginning on June 19, 2023 (the “Start Date”) and ending on the fifth anniversary of the Start Date (the “Initial Term”). On the day following the last day of the Initial Term and each anniversary thereof, the term of this Agreement shall be extended automatically for additional one (1)-year periods (each, a “Renewal Term”), on the same terms and conditions as set forth in this Agreement, forAgreement (as may be modified in writing from time to time by the period commencing as ofparties), unless either party gives the Effective Date and continuing for two (2) years following the Effective Date (the “Initial Term”) unless extended or terminated as provided herein. This Agreement shall automatically renew at the end of Initial Term for an additional one (1) year period and, thereafter, for successive one (1) year periods (each a “Renewal Term”), unlessother party written notice of nonrenewal is given by either partyits decision not to renew the term of this Agreement no less than 60at least one-hundred and twenty (120) days prior to the Renewal Date (theend of the Initial Term or any Renewal Term. Notwithstanding the foregoing, either party may terminate this Agreement prior to the expiration of the Term of Employment pursuant to, and each Renewal Term are referred to separately aswith the “Employment Period”). Additionally,effect set forth in, Section 7. Employment Term. This Agreement shall automatically renewfor one (1) additional year (a “Renewal Term”) at the end of the Initial Term forTerm, and an additional one (1) year period and, thereafter, for successive one (1) year periods (each a “Renewal Term”), unless written noticeRenewal Term at the end of nonrenewal is given by either party to this Agreement no less than 60 days prior toeach Renewal Term (the last day of the Renewal Date (the Initial Term and each such Renewal Term are referred to separately as the “Employment Period”). Additionally, the Employment Period # shall automatically terminate upon # Executive’s death, # the Board’s reasonable determination of Executive’s Disability, # may be terminated by the Company at any time for any or no reason by giving Executive written notice of such termination, or # may be terminated by the Executive with 60 days advance written notice to the Company. The date that the Employment Period terminates for any or no reason is referred to herein as a “Term Date”), unless either Party provides written notice to the “Termination Date.” other of its non-renewal of this Agreement not later than sixty (60) days prior to a Term Date, or Executive’s employment is terminated sooner under paragraph 3 of this Agreement. The period during which Executive’s employment continues in effect pursuant to this Agreement is hereinafter referred to as the Employment Period.

Employment Term. The Company shall employ Executive, andSubject to the provisions of Section 5, beginning on the Effective Date and, continuing until the day prior to the third anniversary of the Effective Date, Executive hereby accepts such employmentwill be employed with the Company, uponCompany on the terms and subject to the conditions set forth in this Agreement, forAgreement (the “Initial Term”); provided, however, that beginning on the period commencing asend date of the EffectiveInitial Term and on each one year anniversary thereafter (each an “Extension Date”), the Employment Term (as defined below) will be automatically extended for an additional one-year period, unless the Company or Executive provides the other party written notice at least 30 calendar days before the Extension Date and continuing for two (2) years followingthat the Effective Date (the “Initial Term”) unlessEmployment Term will not be extended. The Initial Term as it may be extended or terminatedfrom time to time shall be defined as provided herein. Thisthe “Employment Term”. If a Change in Control occurs during the Term then this Agreement shallwill be automatically renew atextended so that it extends until the 2nd anniversary of the Change in Control. If an event that would be Good Reason occurs within 120 days of the end of Initialthe Term, the Term for an additional one (1) year period and, thereafter, for successive one (1) year periods (each a “Renewal Term”), unless written notice of nonrenewal is given by either party to this Agreement no less than 60 days priorwill be extended to the Renewal Date (the Initial Term and each Renewal Term are referred to separately as121st date after the “Employment Period”). Employment Term.
