Location and Reproduction. Executive shall maintain at his work station and/or any other place under his control only such Confidential Information as he has a current “need to know.” Executive shall return to the appropriate person or location or otherwise properly dispose of Confidential Information once that need to know no longer exists. Executive shall not make copies of or otherwise reproduce Confidential Information unless there is a legitimate business need for reproduction.

Location of Offices. The Borrower’s location (within the meaning of Article 9 of the UCC) is, and at all times has been, the State of Delaware. The Borrower’s Federal Employee Identification Number is correctly set forth on the certificate required pursuant to [Section 3.1(l)]. The Borrower has not changed its name (whether by amendment of its certificate of formation, by reorganization or otherwise) or its jurisdiction of organization and has not changed its location within the four (4) months preceding the Closing Date, except as permitted under and in satisfaction of [Section 5.1(o)(vii)].

Location and Attendance. The JSC may meet in person, or by means of telephone conference call or videoconference. Each Party shall use reasonable efforts to cause its representatives to attend JSC meetings. If a Party’s representative to the JSC or any subcommittee is unable to attend a meeting, such Party may designate an alternate to attend such meeting in place of the absent representative. In addition, each Party may, at its discretion, invite non-voting employees, and, with the consent of the other Party, consultants or scientific advisors, to attend the meetings of the JSC.

Location of Collateral. All material tangible items of Collateral, other than Inventory in transit, shall at all times be kept by the Borrowers at locations owned or leased by an Obligor, at customer locations, at locations in respect of which Administrative Agent has received a Lien Waiver (or taken a Rent and Charges Reserve) or at manufacturer locations or other locations for the purposes of repair or servicing of such Collateral, except that the Borrowers may make sales or other dispositions of Collateral in accordance with [Section 10.2.9]. [Schedule 8.7.1] lists all locations where Collateral is located as of the Closing Date.

Location of Records. Keep its principal place of business and chief executive office, and the offices where it keeps its Records (and all original documents (if any) relating thereto), at the address(es) of the Seller referred to in [Section 7.01(l)] or, upon ten (10) days’ prior written notice to the Administrative Agent, at such other locations in jurisdictions where all action required by [Section 9.06] shall have been taken and completed.

Location of Records. Keep its principal place of business and chief executive office, and the offices where it keeps its Records (and all original documents relating thereto), at the address(es) of the Servicer referred to in [Schedule 8.04(f)] or, upon ten (10) days’ prior written notice to the Administrative Agent, at such other locations in jurisdictions where all action required by [Section 9.06] shall have been taken and completed.

Location of Assets. The property and assets of each of the Loan Parties is located in those jurisdictions specified for each in [Schedule 7.1(d)], and in no other jurisdiction. Set out in [Schedule 7.1(d)] are the following:

Change of Location. Borrower will maintain possession of all tangible Collateral at the locations set forth on [Schedule A] hereto except on the satisfaction of the following conditions: # Borrower has given Lender at least thirty (30) days’ prior notice of such action, # Borrower has complied with the other terms of this Agreement, # such new location is within the continental United States, # Lender continuously maintains its first priority Lien thereon, and # if requested by Lender, Borrower has caused to be delivered to Lender a landlord waiver, bailee, warehouseman or similar written agreement, in form and substance acceptable to Lender. Notwithstanding the foregoing, the limitations in this clause will not apply to # inventory in transit, # sales of inventory in the ordinary course of business, # disposal of Collateral as expressly permitted by this Agreement or the other Loan Documents, # Collateral in the possession of Lender, and # Collateral comprised of books and records of Borrower, to the extent that Borrower maintains possession of such books and records at its chief executive office;

Duties and Location. Executive shall serve as Chief Executive Officer and President and shall perform all duties commensurate with his positions and as may be assigned to him by the Board of Directors of the Company (the “Board”). It is understood that Executive shall not be required to devote his full business time and energies to the business and affairs of the Company, however Executive shall use his best efforts, skills and abilities to perform all duties and obligations required of him by the Company, promote the interests of the Company and diligently and competently perform the duties of his positions for the Company. Executive will be based in the Los Angeles area, California, but will travel as necessary to fulfill his duties and responsibilities. Executive is eligible for reimbursement of related and necessary office and travel expenses consistent with Section 5.
