a change in the primary location at which the Executive is required to perform the duties of his employment with the Employer to a location that is more than fifty (50) miles from the location of the Bank’s headquarters on the Effective Date;

a change in the primary location at which the Executive is required perform the duties of his/her employment to a location that is more than fifty (50) miles from the location at which his/her office is located on the effective date of this Agreement; or

A permanent reassignment by the Company of the Executive’s primary office to a location that is more than 50 miles from the Executive’s assigned primary office as of the Effective Date;

a change in the primary location at which the Executive is required perform the duties of his/her employment to a location that is more than fifty (50) miles from the location at which his/her office is located immediately before the Change of Control Date (disregarding any change in location in anticipation of the Change of Control); or

A material change in the principal office location at which the Executive must perform services for the Bank, which, for purposes of this provision shall be a location outside the 50 mile radius from the Executive’s existing office location; or

a change, without the Executive’s written consent, in the location of the Executive’s principal place of employment with the Employer by more than twenty‑five (25) miles from the location of Employer’s main office as of the Effective Date which is not closer to the Executive’s principal residence at the time of relocation.

A relocation of your principal place of employment to a location that is more than forty (40) miles from the Bank’s current principal executive office;

a change in the location of Executive’s primary office such that Executive is required to report regularly to an office located outside of a 75-mile radius from the location of Executive’s primary office as of the Effective Date, which change is not consented to by Executive in writing; or

a change in the location of Executive’s primary office such that Executive is required to report regularly to an office located outside of a 75-mile radius from the location of Executive’s primary office as of the Effective Date, which change is not consented to by Executive in writing.

Executive’s being required to be based at any other office or location of employment more than 50 miles from Executive’s primary office or location of employment immediately prior to the Change of Control;
