The Company hereby agrees to employ the Executive for the Term (as defined in Section 2) to render substantially full-time services to the Company as the Company’s Chairman, or in such other executive position as may be mutually agreed upon by the Company and the Executive, provided that the Executive may serve on the board of directors for other for-profit and not-for-profit entities with notice to and consent of the Compensation, Nominating and Corporate Governance Committee of ALJJ (the “CNCG Committee”), such consent not to be unreasonably withheld.

Employment, Duties. The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render exclusive and full-time services to the Company as the Executive Vice President and Chief Financial Officer of the Company, and to perform such other duties consistent with such position as may be assigned to the Executive by the Chief Executive Officer of the Company (the “CEO”) and the Board of Directors of the Company (the “Board”). During the Term, the Executive shall report solely to the CEO and the Board.

EMPLOYMENT; DUTIES. The Company agrees to employ Employee as its Chief Commercial Officer, and Employee agrees to accept such employment upon the terms and conditions hereinafter set forth. Employee will perform such services for the Company as are customarily associated with such position and as may otherwise be assigned to the Employee from time to time by the Company’s Chief Executive Officer. Employee will devote Employee’s full business time and attention to the business and affairs of the Company, and will perform Employee’s duties diligently and to the best of Employee’s ability, in compliance with the Company’s policies and procedures and the laws and regulations that apply to the Company’s business. Notwithstanding the foregoing, it will not be a violation of this Agreement for Employee to serve as a director of any company whose products do not compete with those of the Company and to serve as director, trustee, officer, or consultant to a charitable of non-profit entity; provided that: # such service does not adversely affect Employee's compliance with her obligations under this Agreement, including but not limited to her devotion of full business time and attention to the business and affairs of the Company and her compliance with her Employee Non-Competition and Non-Solicitation Agreement and Employee Confidentiality and Inventions Agreement; and # Employee provides written notification of each such service to the Company.

During the Transition Term, Employee shall provide services to accomplish the orderly transition of Employee’s former duties and responsibilities with the Company and such other special projects as requested by the Company from time to time (the “Transition Services”). During the Transition Term, Employee shall report directly to the Chief Executive Officer (the “CEO”) of the Company.

During the Employment Term, the Company will employ the Executive as its Executive Vice President - Chief Compliance and Quality Officer, a senior executive position that reports directly to the Chief Executive Officer (“CEO”) of the Company. The Executive’s principal duties and responsibilities shall be to oversee and direct the operations of the [[Company:Organization]] Group including the management and delivery of home care and adult day care services and the performance of such other executive duties and responsibilities as may be assigned to him/her by the CEO or the Board of Directors and are consistent with the Executive’s position as Chief Compliance and Quality Officer of the Company.

Employment, Duties. The Company hereby employs the Executive for the Term, to render full-time services to the Company as the President and Chief Executive Officer of the Company, or in such other executive position as may be mutually agreed upon by the Company and the Executive, and to perform such other duties consistent with such position or as may be assigned to the Executive by the Company.

Employment, Duties. The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render services to the Company as the Interim Chief Executive Officer of the Company and vTv, on an interim basis, and to perform such other duties consistent with such position as may be assigned to the Executive by the Board of Directors of the Company (the “Board”). Notwithstanding the preceding sentence during the period commencing March 1, 2022, until March 29, 2022, Executive shall serve as the Acting Chief Executive Officer. Executive shall be identified as the “Interim Chief Executive Officer” in all statements, required disclosures, and/or any other communications regarding Executive and/or Executive’s employment with the Company. During the Term, the Executive shall report solely to the Board.

Employment Duties. Executive shall have the title of Executive Vice President - Finance of the Company and CBL/REIT (and shall transition to the title of Executive Vice President, Chief Financial Officer and Treasurer as of January 1, 2023) and shall have such duties, authorities and responsibilities as are consistent with such position(s) and as the Board of Directors of CBL/REIT (the “Board”) may designate from time to time. Executive shall devote Executive’s full working time and attention and Executive’s best efforts to Executive’s employment and service with the Company and shall perform Executive’s services in a capacity and in a manner consistent with Executive’s position for the Company.
