Employment by the Company. Executive agrees to be employed by the Company upon the terms and subject to the conditions set forth in this Agreement. Executive shall serve in the Position.

No Future Employment with the Company. You agree that you will not knowingly apply for or accept employment with the Company. You agree that if you knowingly or unknowingly apply for a position with the Company and are offered or accept a position, the Company may withdraw the offer or terminate your employment immediately, without notice. You agree that in the event of such an offer and withdrawal, or hiring and termination, as described in this paragraph 5, you waive any right to seek legal or administrative redress of any kind for events relating to the withdrawal of the offer or termination of employment.

Term of Employment by the Company. The Company hereby agrees to employ the Executive for a term commencing on the Effective Date and expiring on December 31, 2016 (the “Scheduled Termination Date”), unless earlier terminated as provided in Section 4 or extended by mutual written agreement of the Company and the Executive (the “Term”).

Company. “Company” shall mean ​ Holdings, Inc.

Company. Saul Centers, Inc., a Maryland corporation, and any successor thereto.

Company. “Company” means The Sherwin-Williams Company, an Ohio corporation or its successor(s) in interest.

Company. Carpenter Technology Corporation and any successor or assignee to the business or assets which becomes bound by this Plan by reason of Article V.

Company. Anadarko Petroleum Corporation or its successor in interest.

Employment. Subject to the terms hereof, the Company agrees to employ Employee and Employee hereby accepts such employment in accordance with the terms and conditions of this Agreement.

Employment. Effective as of the close of business on November 7, 2022 (the “Effective Date”) you shall serve as Interim President, and have the duties, responsibilities and authority of the President under the Company’s Bylaws, until either you or the Board provides written notice of your termination from such position (the “Employment Period”). You shall report to the Board and shall work on a full-time basis for the Company and shall devote substantially all of your business time, attention, skills and energies to the business and affairs of the Company. During the Employment Period, you shall not engage in any business activity which, in the reasonable judgment of the Board, conflicts with your duties hereunder, whether or not such activity is pursued for gain, profit or other pecuniary advantage. You agree that you shall promptly report any potential conflict in writing to the Board, affirmatively disclosing any outside business opportunity that presents even the appearance of a conflict. The primary place of your employment will be in the Company’s home offices in the Seattle, Washington area, subject to the Company’s policies regarding working from a remote location and subject to reasonable business travel requirements.
