Post-Employment Agreements. As a condition of and in consideration for participation in the 2019 LTIP, an associate must agree to the post-employment covenants regarding non-competition, non-solicitation and other matters set forth on Exhibit A to this document. Any associate participating in the 2019 LTIP must provide a signed acknowledgement of agreement.

The Company hereby agrees to employ the Executive as its Chief Executive Officer, and the Executive hereby accepts such position and agrees to serve the Company in such capacity on a full-time basis during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive’s principal place of employment shall be Atlanta, Georgia, or such other place as the parties may mutually determine. The Executive shall report to the Company’s Board of Directors (the “Board”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the Board from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions of the Board and all applicable policies and rules of the Company.

The Company hereby agrees to employ the Executive as its President of its Residential Design Services (RDS) division, and the Executive hereby accepts such position and agrees to serve the Company in such capacity on a full-time basis during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the COO from time to time. Employment Agreements. Purchasers shall have received fully executed copies of the employment agreements for each of Terren Peizer, Rick Anderson and [[Person A:Person]] (in each case, in form and substance reasonably satisfactory to Purchasers).

Employment Agreements. Contemporaneously herewith and effective as of the effectiveness of the Closing, the Company and each of the Key Employees have entered into employment agreements in the forms set forth in Exhibit C-11] and Exhibit C-22] (the “Employment Agreements”). Seller shall not, and shall cause the Company not to, amend, terminate, rescind, or modify in any manner the Employment Agreements prior to the Closing.

Employment Agreements. The Employment Agreements shall be in full force and effect in accordance with their terms as of the effectiveness of the Closing.

The Executive’s principal place of employment shall be Austin, Texas, or such other place as the parties may mutually determine. The Executive shall report to the Company’s Chief Executive Officer (“CEO”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the CEO from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions of the CEO and all applicable policies and rules of the Company.
