EMPLOYMENT AND DUTIES. During the Employment Period (as defined below), Executive shall be employed by the Company as its [position title]. Executive shall have the normal duties, responsibilities and authority of such position, subject to the power and direction of the Company’s [For Non-CEO Version Only: Chief Executive Officer and its] Board of Directors, to expand or limit such duties, responsibilities and authority. During Executive’s employment, Executive shall devote all of his or her business time and efforts to the performance of Executive’s duties on behalf of the Company, and its respective direct or indirect subsidiaries, whether currently existing or hereafter acquired or formed (collectively, the “Company Group”), and will not engage in or be concerned with any other commercial duties or pursuits without prior written permission of the Company, which may be provided by [For Non-CEO Version Only: the Chief Executive Officer or] the Board of Directors. Notwithstanding the foregoing, nothing herein shall preclude Executive from # serving as an officer or a member of charitable, educational or civic organizations; # engaging in charitable activities and community affairs; # managing Executive’s personal investments and affairs; and, # engaging in limited commercial activities on Executive’s own time or while not expected to be providing services on behalf of the Company; provided, however, that such service and activities do not, in the Company’s reasonable opinion, interfere with the performance of Executive’s duties on behalf of the Company, create any conflict of interest as it relates to the Company, and are not represented in a manner that suggests the Company supports or endorses the services or activities without the advance approval of the Company. Executive shall be responsible for complying with all policies and operating procedures of the Company (that are provided or made available to Executive) in the performance of Executive’s duties on behalf of the Company.

Employment and Duties. During the Employment Period (as defined below), Employee will serve in the Position and will report to the CEO. Employee will have such duties and responsibilities that are commensurate with such position and such other duties and responsibilities commensurate with such position as are from time to time assigned to Employee by the CEO. During the Employment Period, Employee shall diligently and conscientiously devote her full business time, attention and energies to the performance of her duties and responsibilities hereunder. Employee shall not engage in any other employment or business activity without the express prior written consent of the CEO and the Board. Employee shall not, directly or indirectly, engage or participate in any activities at any time during the term of this Agreement which conflict with the best interests of the Company. Employee shall work at such times and at such places as required by the Company. Employee shall, at all times during the Employment Period, discharge her duties herein described in consultation with and under the direction, approval and control of the CEO. Notwithstanding any other provision of this Agreement, the CEO reserves the absolute right, in his or her sole and absolute discretion, to make any and all decisions with respect to actions to be taken by Employee in connection with the rendering of her duties in accordance with professional standards.

The Company hereby agrees to employ the Executive as its Chief Executive Officer, and the Executive hereby accepts such position and agrees to serve the Company in such capacity on a full-time basis during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive’s principal place of employment shall be Atlanta, Georgia, or such other place as the parties may mutually determine. The Executive shall report to the Company’s Board of Directors (the “Board”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the Board from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions of the Board and all applicable policies and rules of the Company.

The Company hereby agrees to employ the Executive as its President of its Architectural Surfaces Group division, and the Executive hereby accepts such position and agrees to serve the Company in such capacity on a full-time basis during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive’s principal place of employment shall be Austin, Texas, or such other place as the parties may mutually determine. The Executive shall report to the Company’s Chief Executive Officer (“CEO”). The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the CEO from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions of the CEO and all applicable policies and rules of the Company.

Employment and Duties. The Company agrees to employ and the Executive agrees to serve as the Company’s Chief Financial Officer. The duties and responsibilities of the Executive shall include the duties and responsibilities as the Company’s Board of Directors (“Board”) or Chief Executive Officer may from time to time assign to the Executive and reasonably commensurate with those duties and responsibilities normally associated with and appropriate for someone in the position of Chief Financial Officer.

Employment and Duties. The Company hereby employs Employee as Chief Operating Officer of the Company on the terms and subject to the conditions contained in this Agreement. Employee hereby accepts such employment and agrees to perform in good faith and to the best of Employee's ability all services which may be required of Employee hereunder, to do what is asked of him, and to be available to render services at all times and places in accordance with such directions, requests, rules and regulations made by the Company in connection with Employee's employment. Employee hereby acknowledges and understands the duties and services that are expected of him hereunder, and he hereby represents that he has the experience and knowledge to perform such duties and services. Employee shall report to the Chief Executive Officer [[Person A:Person]] such other executive officer as may be designated by the Company. Employee shall be based at the Company's corporate offices. Employee understands, however, that Employee may be required to travel within and outside of the State of California to discharge his duties hereunder.

Employment and Duties. From and after the Effective Date, the Company shall employ the Executive as Chief Executive Officer. In such capacity, the Executive shall perform all such duties as are assigned to him or her consistent with the Executive’s titled position by the [[Organization A:Organization]] of the Company (the “Board”), and shall use his or her reasonable best efforts to promote the interests of the Company. Nothing contained herein shall preclude the Executive from managing personal investments, participating in charitable, community, educational and professional activities, or, with the prior written consent of the Company (which shall not be unreasonably withheld), serving on the [[Organization A:Organization]] (or comparable governing body), including any board committees, of for-profit businesses that do not compete with the Company, provided that such activities do not materially interfere with the performance of his or her duties for the Company.

Employment and Duties. Each of the Companies hereby employs the Executive as Chief Operating Officer (COO) and President - Revenue Management and Digital Monetization (RMDM) throughout the term of this agreement and agrees to cause the Executive from time to time to be elected or appointed to such corporate office and position. The duties and responsibilities of the Executive shall include # the duties and responsibilities of the Executive's corporate office and position referred to in the preceding sentence which are set forth in the respective bylaws of the Companies from time to time and # such other duties and authorities consistent with the Executive's corporate office and position referred to in the preceding sentence and this agreement which the Board of Directors of CSGS (the "Board") or the Chief Executive Officer of CSGS from time to time may assign to the Executive. If the Executive is elected or appointed as a director of CSGS or Systems or as an officer or director of any of the respective subsidiaries of the Companies during the term of this agreement, then he also shall serve in such capacity or capacities but without additional compensation.

The Company hereby agrees to employ the Executive as its President of its Residential Design Services (RDS) division, and the Executive hereby accepts such position and agrees to serve the Company in such capacity on a full-time basis during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive shall report to the Company’s Chief Operating Officer (“COO”). The Executive’s principal place of employment shall be [[Address A:Address]]. The Executive shall have such duties and responsibilities as are consistent with the Executive’s position and as may be reasonably assigned by the COO from time to time. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions of the COO and all applicable policies and rules of the Company.

EMPLOYMENT AND DUTIES. Subject to the terms and conditions of this Agreement, the Company agrees to employ the Employee, and the Employee hereby agrees to serve the Company, as President and Chief Executive Officer. The Employee shall report directly to the Company’s Board of Directors and shall render to the Company such management and policy-making services of the type customarily performed by persons serving in similar capacities with other employers that are similar to the Company, together with such other duties with which he is charged by the Company’s Articles or Notice of Articles (or any similar governance instruments) and subject to the overall direction and control of the Company’s Board of Directors. The Employee accepts such employment and agrees to devote his best efforts and substantially all of his business time, skill, labor and attention to the performance of such duties. The Employee agrees not to engage in or be concerned with any other commercial duties or pursuits during the Term (as hereinafter defined); provided, however, that the Employee may be involved in a passive capacity in a non-competitive business subject to the prior written approval of the Company’s Board of Directors. Furthermore, the Employee shall assume and competently perform such reasonable responsibilities and duties as may be assigned to him from time to time by the Board of Directors of the Company. To the extent that the Company shall have any parent, subsidiary, affiliated corporations, partnerships, or joint venture (collectively “Related Entities”), the Employee shall perform such duties to promote these entities and their respective interests to the same extent as the interests of the Company without additional compensation. At all times, Employee agrees that he has read and will abide by, and prospectively will read and abide by, any employee handbook, policy, or practice that the Company or Related Entities has or hereafter adopts with respect to its executive officers or its employees generally, including without limitation, the Company’s Insider Trading Policy and Code of Ethics and Business Conduct.
