Duties.Duties of Executive. During the Employment Term,Term as defined in Paragraph 5, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time during normal working hours to the Company. Notwithstanding the foregoing, Executive shall havebe permitted to serve as a director on the boards of up to two companies, so long as such duties, authorities, and responsibilities commensurateservice does not interfere or conflict with his positionsExecutive’s obligations hereunder and such other duties and responsibilities consistentdirectorships are not with Executive’s positions ascompetitors of the Company. Furthermore, Executive shall be determined from time to time bynotify the Company’s Board of Directors at least forty-five (45) days prior to becoming a director of the Company (the “Board”) orany other entity. Executive will report to the [[Organization A:Organization]] of the Company. Executive shall faithfully performbe responsible for duties typical of the dutiesoffice held by the Executive and as set out in Article V, [Section 27(f)] of his employmentthe Company’s Bylaws, attached hereto as Exhibit “A”, and shall devote substantiallyperform such other duties and projects as may be assigned by the [[Organization A:Organization]] of the Company or the Board of Directors of the Company that are consistent with his position. Executive willshall comply with the policies, standards, and regulations established from time to time by the Company. During the Term, Executive shall continue to serve as a member of the Board (provided, however, that Executive shall not engageserve on any committees of the Board) and the Company shall propose Executive for re-election to the Board at such times as shall be necessary for Executive to remain as a member of the Board throughout the Term. During the Term, Executive shall not receive any compensation in any other business, profession, or occupation for compensation or otherwise which wouldform in his capacity as a member of the Board.

Duties.Executive agrees, subject to his election or appointment and without additional compensation, to serve during the Term in such additional offices of comparable stature, duty, power and responsibility in the Company’s subsidiaries as requested by the Board. Executive shall report solely and directly [[Organization A:Organization]] Board. During the Employment Term, Executive shall have such duties, authorities, and responsibilities commensurate with his positions and such other duties and responsibilities consistent with Executive’s positions as shall be determined from time to time by the Board of Directors of the Company (the “Board”) or the [[Organization A:Organization]] of the Company. Executive shall faithfully perform the duties of his employment and shall devote substantially all of his business time and attention to the[[Organization A:Organization]] performance of such duties. Executive willhis duties hereunder (vacations and absences due to illness excluded) faithfully and [[Organization A:Organization]] best of his abilities and shall not engage in any other business, profession,profession or occupation for compensation or otherwise which would conflict with the rendition of such services, without the prior written consent of the Board. Executive agrees to comply with (i) all laws, rules and regulations, and all requirements of all regulatory, self-regulatory, and administrative bodies, in each case applicable [[Organization A:Organization]]’s business; (ii) the Company’s promulgated rules, procedures, policies, and requirements; and (iii) lawful directions furnished to Executive by the Board.
