Employee Information Disclosure. In [Attachment A] of this Agreement, which is hereby incorporated by reference, you are being given the following information as required by the Older Workers Benefit Protection Act: # a description of the group of individuals who the Company is terminating and is offering separation benefits in exchange for a release of claims; # the eligibility factors for inclusion in that group; # the time limits, if any, applicable to the separation benefits offer; # the job titles and ages of all individuals who the Company is terminating and is offering separation benefits in exchange for a release of claims; and # the job titles and ages of all individuals who the Company is not terminating, but who were in the same job classifications or organizational unit as any individual covered in the group described in (iv).

Certain Employee Information. [Section 4.14(a)] of the Seller Disclosure Schedules lists as to each current Employee whose job duties are primarily related to the Business and certain individuals employed by Affiliates of Seller whose job duties are primarily related to the Business and to whom Buyer is obligated to make an offer of employment pursuant to [Section 6.04(b)] (“Must-Offer Employees”) as of the date of this Agreement: name and current job title.

Disclosure of Information. MICHIGAN has had an opportunity to discuss LICENSEE’s business, management, financial affairs and the terms and conditions of the offering of the applicable shares of LICENSEE with LICENSEE’s management;

Additional Employee Information. The May-Offer Employee Side Letter lists each current Employee of Seller and certain other individuals employed by Affiliates of Seller whose job duties are primarily related to the Business to whom Buyer may make an offer of employment pursuant to [Section 6.04(b)] (“May-Offer Employees”).

Employee Information. Promptly following the Default Start Date, EVO Companies will provide Operator with access to all employment records with respect to # those employees at Operator; and # those Provider employees that exclusively provide services to one or more of the Operators) (such employees described in clauses (i) and (ii), the “Target Employees”), together with a listing of the job title, description of the job duties, and compensation for each Target Employee, which shall identify both base compensation and the aggregate value of benefits.

Disclosure of Information. The Purchaser has had an opportunity to receive all information related to the Company requested by him and to ask questions of and receive answers from the Company regarding the Company, its business and the terms and conditions of the offering of the Securities. The Purchaser acknowledges receipt of copies of the SEC Reports (or access thereto via EDGAR). Neither such inquiries nor any other due diligence investigation conducted by the Purchaser shall modify, limit or otherwise affect such Purchaser’s right to rely on the Company’s representations and warranties contained in this Agreement.

Disclosure of Information. MICHIGAN has had an opportunity to discuss LICENSEE’s business, management and financial affairs with LICENSEE’s management.

Disclosure of Information. The Investor has received or has had full access to all the information from the Company and its management that the Investor considers necessary or appropriate for deciding whether to purchase the Purchased Shares hereunder. The Investor further represents that it has had an opportunity to ask questions and receive answers from the Company regarding the Company, its financial condition, results of operations and prospects and the terms and conditions of the offering of the Purchased Shares sufficient to enable it to evaluate its investment.

Employee Information. Seller has previously provided or made available to Buyer, as of the date hereof, # a list of all Business Employees, # each Business Employee’s rate of base salary or hourly wage compensation, total annual compensation (including incentive and similar compensation), title, job location, beginning service date, period of service recognized by each Employee Plan (if applicable), vacation entitlement and target bonus opportunity and # whether a Business Employee is on active status or on leave of absence, whether short-term, family, paternity, short-term disability, paid, unpaid or other leave, and projected return date, if any. Prior to the Closing Date, Seller shall provide Buyer with written updates to such information to reflect new hires and terminations of employment of Business Employees between the date hereof and the fifth # Business Day prior to the Closing Date. Following the execution of this Agreement, Seller shall not transfer any Business Employee to a position unrelated to the Business.
