Participant. “Participant” shall mean any Employee or Director # who is selected to participate in the Plan, # whose executed Plan Agreement, Election Form and Beneficiary Designation Form are accepted by the Committee, and # whose Plan Agreement has not terminated.

“Participant” shall mean any employee # who is selected to participate in the Plan, # who elects to participate in the Plan, # who signs a Plan Agreement, an Election Form and a Beneficiary Designation Form (in the manner specified by the Committee), # whose signed Plan Agreement, Election Form and Beneficiary Designation Form are accepted by the Committee, # who commences participation in the Plan, and # whose Plan Agreement has not terminated.

“Participant” means a person who is selected by the Committee to receive benefits under this Plan and who is at the time # a non-employee Director, # an officer or other employee of the Company or any Subsidiary, or # a person, including a consultant, who provides services to the Company or any Subsidiary that are equivalent to those typically provided by an employee (provided that such person satisfies the Form S-8 definition of an “employee”).

“Participant” means any Employee, Eligible Director, or consultant (provided that such person satisfies the Form S-8 definition of an “employee”) designated by the Committee to participate in the Plan.

“Participant” means a person who is selected by the Committee to receive benefits under this Plan and who is at the time # a non-employee Director, # an officer or other employee of the Company or any Subsidiary, including a person who has agreed to commence serving in such capacity within 90 days of the Date of Grant, or # a person, including a consultant, who provides services to the Company or any Subsidiary that are equivalent to those typically provided by an employee (provided that such person satisfies the Form S-8 definition of an “employee”).

“Participant” means a person who is selected by the Committee to receive benefits under this Plan and who is at the time # an officer or other employee of the Company or any Subsidiary, including a person who has agreed to commence serving in such capacity within 90 days of the Date of Grant, # a person who provides services to the Company or any Subsidiary that are equivalent to those typically provided by an employee (provided that such person satisfies the Form S-8 definition of an “employee”), or # a non-employee Director. The term “Participant” shall also include any director emeritus.

“Participant” means a person who is selected by the Committee to receive benefits under this Plan and who is at the time # an officer or other employee of the Company or any Subsidiary, including a person who has agreed to commence serving in such capacity within 90 days of the Date of Grant, # a person, including a consultant, who provides services to the Company or any Subsidiary that are equivalent to those typically provided by an employee (provided that such person satisfies the Form S-8 definition of an “employee”), or # a non-employee Director.

“Participant” shall mean any Director or Employee of, or Consultant to, the Company or a Subsidiary who is selected to participate in the Plan.

Participant means a full time Employee # who is selected to participate in the Plan, # who elects to participate in the Plan, # who signs an Election Form and an Endorsement and Beneficiary Designation Form, # whose signed Election Form and Endorsement and Beneficiary Designation Form are accepted by the Plan Administrator, # who commences participation in the Plan, # whose Participation has not terminated, and # who is listed in the attached Appendix A of this executed document.

“Participant” shall mean any executive, director, consultant, other service provider or key employee of the Company who has been selected to participate in the Plan by the Board (or a committee appointed thereby).
