Advances or extensions of credit in the form of accounts receivable incurred in the ordinary course of business and upon terms common in the industry for such accounts receivable; and

sales by ​ and its Subsidiaries of their accounts receivable pursuant to the Receivables Purchase Agreements; provided, that, # the aggregate face amount of all accounts receivable of ​ treated as purchased receivables and sold by ​ and/or its Subsidiaries to the securitization conduit under the Receivables Purchase Agreements shall not exceed at any time the lesser of # an amount equal to seventy-five percent (75%) of the aggregate face amount of all accounts receivable of ​ and its Consolidated Subsidiaries, taken as a whole, including the accounts receivable which constitute purchased receivables under the Receivables Purchase Agreements, and # ​, and # from and after the date of the first sale of accounts receivable pursuant to the Receivables Purchase Agreements, the cumulative net cash proceeds received by ​ from sales of accounts receivable thereunder shall not be less than an amount equal to seventy-five percent (75%) of the cumulative face amount of all accounts receivable of ​ sold thereunder;;

Clause (bb) of the definition of “Eligible Receivable” in ​ to the Agreement provides that, unless expressly permitted in writing by all Lenders, no Receivable the Obligor of which is Iron Bow Technologies, LLC may constitute an Eligible Receivable under the Agreement and the other Related Documents. The Borrower hereby requests, and by its signature below each of the Lenders and the other parties hereto hereby agrees, that, on and after the date hereof, each Receivable owing by Iron Bow Technologies, LLC shall constitute an Eligible Receivable to the extent such Receivable satisfies each clause of the definition of “Eligible Receivable” (other than clause (bb)).

"Sale Receivables" means, collectively # accounts receivable that have been originated by the Company or a Restricted Subsidiary and transferred to the A/R Subsidiary for sale pursuant to a Permitted A/R Sale Transaction; # all proceeds of such accounts receivable; and # any and all instruments, contract rights, chattel paper, or other general intangibles relating to or arising out of such accounts receivable.

it is a valid, legally enforceable and unconditional obligation of the Accounts Receivable Debtor with respect thereto, and is not subject to setoff, counterclaim, credit or allowance (except any credit or allowance which has been deducted in computing the net amount of the applicable invoices shown in the original schedule or Borrowing Base Certificate furnished to Bank identifying or including such Accounts Receivable) or adjustment by the Accounts Receivable Debtor with respect thereto, or to any claim by such Accounts Receivable Debtor denying liability thereunder in whole or in part;

Accounts. To facilitate the transfer of funds contemplated by this Agreement, ​ shall establish and maintain at ​ each of the Accounts. All other deposit accounts, certificate of deposit and other similar account of ​ shall be maintained only in accounts at federally insured financial institutions.

Accounts. Agent may rely, in determining which Accounts are Eligible Accounts, on all statements and representations made by Borrowers with respect thereto. Each Borrower warrants, with respect to each Account at the time it is shown as an Eligible Account in a Borrowing Base Certificate, that:

Accounts. The Committee shall establish and maintain an Account for each Participant that will record the number of Shares and Share Equivalents that have been designated in accordance with the terms of this Plan to satisfy the Minimum Stock Ownership Requirement applicable to such Participant.
