Awards may be granted only to a person who, at the time of granting of the Award by the Committee: # has been hired as an Employee by the Company or any Subsidiary and such Award is a material inducement to such person being hired; # has been rehired as an Employee following a bona fide period of interruption of employment with the Company or any Subsidiary; or # has become an Employee of the Company or any Subsidiary in connection with a merger or acquisition.
