Electronic Execution of Assignments and Certain Other Documents. This Agreement and the other Loan Documents, and any separate letter agreements with respect to fees payable to Administrative Agent, the Arrangers or any Lender, constitute the entire contract among the parties relating to the subject matter hereof and supersede any and all previous agreements and understandings, oral or written, relating to the subject matter hereof.

Other Documents. All other documents provided for herein or which the Administrative Agent or any other Lender may reasonably request or require.

OTHER DOCUMENTS. You hereby acknowledge receipt or the right to receive a document providing the information required by Rule 428(b)(1) promulgated under the Securities Act. In addition, you acknowledge receipt of the Company’s policy permitting certain individuals to sell shares only during certain “window” periods and the Company’s insider trading policy, in effect from time to time.

Other Documents. You acknowledge receipt of the Company’s insider trading policy and agree to comply with its terms.

Electronic Execution and Delivery. The parties may execute and deliver this Agreement by facsimile, electronic mail of a .PDF or other electronic means under which the signature of or on behalf of such party can be seen, and such execution and delivery will be considered valid, binding and effective for all purposes.
