#[[Organization B:Organization]] acknowledges that [[Organization C:Organization]] may employ one or more electronic processes and systems with respect to the transactions contemplated by this Agreement, including the purchase of Participation Interests in Mortgage Loans and the sale of such Participation Interests to Take- Out Purchasers. [[Organization B:Organization]] shall cooperate with [[Organization C:Organization]] with respect to the implementation of any such electronic document processes or systems.

With respect to the Mortgage Loan Documents for Participated Mortgage Loans, [[Organization B:Organization]] may use electronic services, process and systems for the execution thereof only with the [[Organization C:Organization]]’s prior written consent, which approval may be conditioned by [[Organization C:Organization]] upon, among other things, the following: # full, unrestricted access by [[Organization C:Organization]] to all electronic reports, records and data related thereto; # cooperation on the part of [[Organization B:Organization]] with respect to access and turnover of such reports, records and data to [[Organization C:Organization]]; and # recognition agreements with third party service providers and vendors, in form and content satisfactory to [[Organization C:Organization]].
