Electricity. As soon as reasonably practical following the execution and delivery of this Amendment by Landlord and Tenant, Tenant shall install, at Tenant’s sole cost and expense, a submeter or submeters, for the purposes of measuring Tenant’s consumption of electricity at the Premises. The installation of the submeter shall be performed in accordance with the provisions of the Lease, including, without limitation, Article 11 thereof. Commencing on the later to occur of # the Additional Premises Commencement Date and # the date on which the installation of the submeter(s) is completed (the “Submeter Date”), Tenant shall pay for electricity in the manner set forth in Section 14.01 of the Lease; provided, however, that, from and after the Submeter Date to and including the date of the expiration or earlier termination of the Lease, Tenant shall pay to Landlord, with payments of the monthly installments of annual fixed rent, an amount equal to five percent (5%) of the cost of the electricity consumed at the Additional Premises during the immediately prior month (or portion thereof if the Submeter Date occurs on a date other than the first day of any calendar month or if the term of the Lease expires on a date other than the last day of any calendar month) for each month of the term of the Lease. So long as Tenant is diligently prosecuting the installation of the submeter(s), Tenant shall not be obligated to pay for electricity consumed at the Additional Premises prior to the Submeter Date.

Electricity. At all times during the remainder of the initial term of this Lease and the Extension Term, Tenant shall pay, pursuant to the terms of the Lease, for electricity consumed at the Premises.

Tenant shall reimburse Landlord for the actual cost to Landlord of electricity consumed at the Third Floor Additional Premises (as evidenced by the sub-meter installed by Landlord pursuant to Paragraph 1.b.i. above), plus five percent (5%) for Landlord’s overhead in monitoring the same.

Renewable Electricity” means, with respect to the end of the fiscal year commencing with the fiscal year ending May 30, 2021, the percentage of the Company and its subsidiaries’ total electricity consumption for all owned operations that is renewable electricity, as reported in the KPI Metrics Report.

Tenant’s electricity consumption and demand in the Demised Premises shall be measured by meters to be installed by Landlord as part of Landlord’s work at the expense of Landlord. Tenant agrees to purchase such electricity from the public utility furnishing electricity to the Building. Landlord shall install, as part of Landlord’s work, at the expense of Landlord, a submeter to measure electricity consumption of Tenant for overtime air conditioning.

Ensure that the contractor can use the construction electricity and communication facility, which shall be charged in accordance with the current domestic industrial electricity price, and pursuant to the rule of clause2 of [article 3] in this agreement, it shall be regarded as construction cost or management cost.

Renewable Electricity Consumed”: locally or regionally sourced renewable electricity – including, but not limited to, wind, solar or hydro power (and others as agreed from time to time with the Sustainability Structuring Agents) – consumed by Global Manufacturing Facilities, either directly or through the local distribution utility and expressed in kilowatt hours (kWh).
