Mechanics of Fulfilling Holder's Election. The Company shall promptly send via electronic mail or facsimile to a holder of Series C-1 Preferred, upon receipt of electronic mail or facsimile copy of a Conversion Notice from such holder which cannot be fully satisfied as described in Section 8(a) above, a notice of the Company's inability to fully satisfy such holder's Conversion Notice (the “Inability to Fully Convert Notice”). Such Inability to Fully Convert Notice shall indicate # the reason why the Company is unable to fully satisfy such holder's Conversion Notice, and # the number of shares of Series C-1 Preferred which cannot be converted. Such holder shall notify the Company of its election pursuant to Section 8(a) above by delivering written notice via electronic mail or facsimile to the Company (“Notice in Response to Inability to Convert”).

Mechanics Liens. To Seller’s knowledge, Seller has received no notice of any mechanics lien or notice of intent to file a mechanics lien. Seller acknowledges and agrees that it shall remain liable for any mechanics liens related to work on the Properties prior to Closing at the request of Seller or Property Manager whether or not such liens are filed before or after the Closing Date. Such obligations shall survive the Closing and shall not be merged into the Deeds.

Transfers of the Notes by Purchasers shall be effected by execution and delivery to Company of a Transfer Agreement. Transfers made pursuant to the foregoing provision shall be effective as of the Transfer Effective Date. In connection with all transfers there shall be delivered to Company such forms, certificates or other evidence, if any, with respect to U.S. federal income tax withholding matters as the transferee under such Transfer Agreement may be required to deliver pursuant to [Section 2.19(c)].

Mechanics. The assigning Lender and the assignee thereof shall execute and deliver to Administrative Agent an Assignment Agreement, together with such forms, certificates or other evidence, if any, with respect to United States federal income tax withholding matters as the assignee under such Assignment Agreement may be required to deliver to Administrative Agent pursuant to [Section 2.16(d)].

Election Mechanics. Each Retainer Grant Election must be submitted to the Company’s Chief Financial Officer (or such other individual as the Company designates) in writing at least 10 business days in advance of the applicable Retainer Accrual Date, and subject to any other conditions specified by the Board or Compensation Committee of the Board. A Non-Employee Director may only make a Retainer Grant Election during a period in which the Company is not in a quarterly or special blackout period and the Non-Employee Director is not aware of any material non-public information. Once a Retainer Grant Election is properly submitted, it will be in effect for the next Retainer Accrual Date and will remain in effect for successive Retainer Accrual Dates unless and until the Non-Employee Director revokes it in accordance with Section 2(a)(iii) below. A Non-Employee Director who fails to make a timely Retainer Grant Election will not receive a Retainer Grant and instead will receive the cash compensation under Section 1.

Tenant will not permit any mechanics’ or materialmens’ or other liens to stand against the Premises, the Building or the land on which the Building is located for, and shall promptly pay all costs and expenses of, any labor or materials furnished Tenant in connection with work of any character performed on said Premises by or at the direction of Tenant.

Payment Mechanics. All payments of principal and interest hereunder are to be made in lawful money of the United States of America.

Notice Mechanics. All notices, requests, demands or other communications hereunder shall be in writing and shall be deemed to have been duly given if # delivered by hand and receipted for by the party to whom said notice or other communication shall have been directed, or # mailed by certified or registered mail with postage prepaid, on the third business day after the date on which it is so mailed:
