Duties and Responsibilities; Best Efforts. The Executive shall devote his or her best efforts and his or her full business time and attention (except for permitted vacation periods and reasonable periods of illness or other incapacity) [[Organization B:Organization]] business and affairs of the Company. The Executive shall perform his or her duties and responsibilities [[Organization B:Organization]] best of his or her abilities in a diligent, trustworthy businesslike and efficient manner. Notwithstanding the foregoing, the Executive may, [[Organization B:Organization]] extent not otherwise prohibited by this Agreement, devote such amount of time as does not interfere or compete with the performance of the Executive’s duties under this Agreement to any one or more of the following activities: # engaging in charitable activities, including serving on the boards of directors of charitable organizations or # serving on the [[Organization A:Organization]] of any other company with the prior written approval of the Company.

Duties. During the Employment Term, Executive shall have such duties, authorities, and responsibilities commensurate with his positions and such other duties and responsibilities consistent with Executive’s positions as shall be determined from time to time by the Board of Directors of the Company (the “Board”) or the [[Organization A:Organization]] of the Company. Executive shall faithfully perform the duties of his employment and shall devote substantially all of his business time and attention to the performance of such duties. Executive will not engage in any other business, profession, or occupation for compensation or otherwise which would

Best Efforts/Full-time. Executive will expend Executive’s best efforts on behalf of the Company, and will abide by all policies and decisions made by the Company, as well as all applicable federal, state and local laws, regulations or ordinances. Executive will act in the best interest of the Company at all times. Executive shall devote Executive’s full business time and efforts to the performance of Executive’s assigned duties for the Company, unless Executive notifies the Company’s Board of Directors (“Board of Directors”) in advance of Executive’s intent to engage in other paid work and receives the Board of Directors’ express written consent to do so. Notwithstanding the foregoing, Executive will be permitted to serve as an outside director on the board of directors for nonprofit or charitable entities, provided such entities are not competitive with the Company and subject to the provisions of Section 8 below.

Performance of Duties. During Executive’s employment, Executive shall faithfully and diligently perform Executive’s duties in conformity with the directions of the President and Chief Executive Officer of the Company (or his/her designee) and serve the Company to the best of Executive’s ability in the Position. Executive shall devote Executive’s full business time, attention and best efforts to the business and affairs of the Company. In Executive’s capacity in the Position, Executive shall have such duties and responsibilities as are customary for Executive’s position and any other duties and responsibilities Executive may be assigned by the President and Chief Executive Officer (or his/her/their designee) of the Company.

Duties of Executive. During the Employment Term as defined in Paragraph 5, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time during normal working hours to the Company. Notwithstanding the foregoing, Executive shall be permitted to serve as a director on the boards of up to two companies, so long as such service does not interfere or conflict with Executive’s obligations hereunder and such directorships are not with competitors of the Company. Furthermore, Executive shall notify the Company’s Board of Directors at least forty-five (45) days prior to becoming a director of any other entity. Executive will report to the [[Organization A:Organization]] of the Company. Executive shall be responsible for duties typical of the office held by the Executive and as set out in Article V, [Section 27(f)] of the Company’s Bylaws, attached hereto as Exhibit “A”, and shall perform such other duties and projects as may be assigned by the [[Organization A:Organization]] of the Company or the Board of Directors of the Company that are consistent with his position. The Board of Directors shall grant the Executive all authorities necessary to perform and fulfill his responsibilities.

Duties. During the Term, Executive shall serve on a full-time basis as [—] for ​. Executive’s duties and responsibilities as [—] of ​ shall include those duties customarily associated with an officer with a similar title or as may be assigned to him from time to time by the Chief Executive Officer of ​. Executive shall be assigned to work primarily out of ​’s [—] office or any other Company office that is or will be located within 20 miles thereof (the “Primary Office Location”), it being understood and agreed that Executive shall be required to travel as necessary in the course of his employment. Executive shall devote his full business-time attention and energies and use his best efforts in his employment with ​; provided, however, that this Agreement shall not be interpreted as prohibiting Executive from managing his personal affairs or engaging in charitable or civic activities; so long as, in each case, such activities do not interfere in any material respect with the performance of Executive's duties and responsibilities hereunder and are in accordance with the policies and procedures of ​.
