Effectiveness. This Agreement shall become effective on the date (the “Effective Date”) on which # the Company has furnished to the Administrative Agent each of the following documents and # each of the following events shall have occurred, as applicable:

Signatures delivered via facsimile or email shall be considered original signatures for all purposes hereof.

Counterparts. This Agreement may be executed in two or more counterparts and by facsimile signatures, which taken together still constitute collectively one agreement. In making proof of this Agreement it shall not be necessary to produce or account for more than one such counterpart with each party’s counterpart or facsimile signature.

This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by facsimile transmission or by e-mail delivery of a ".pdf" format data file, shall be given the same legal force and effect as original signatures.
