Conditions of Effectiveness. The effectiveness of this Amendment is subject to the conditions precedent that the Administrative Agent shall have received # counterparts of this Amendment duly executed by the Borrowers, the Required Lenders and the Administrative Agent, # counterparts of the Consent and Reaffirmation attached as Exhibit A hereto duly executed by the Loan Parties and # payment and/or reimbursement of the Administrative Agent’s and its affiliates’ reasonable and documented out-of-pocket fees and expenses (including, to the extent invoiced, reasonable fees and expenses of counsel for the Administrative Agent) in connection with the Loan Documents.

Effectiveness; Conditions Precedent. This Agreement shall be effective upon satisfaction of the following conditions precedent:

Conditions of Effectiveness. The amendment and restatement of the Existing Credit Agreement pursuant to Section 1 of this Agreement shall become effective as of the first date (the “Restatement Effective Date”) on which each of the following conditions shall have been satisfied:

Conditions to Effectiveness of Increase. As a condition precedent to such increase, Borrower shall deliver to Administrative Agent a certificate of each Obligated Party dated as of the Increase Effective Date (in sufficient copies for each Lender) signed by a Responsible Officer of such Obligated Party # certifying and attaching the resolutions adopted by such Obligated Party approving or consenting to such increase, and # in the case of Borrower, certifying that, before and after giving effect to such increase, # the representations and warranties contained in Article 6 and the other Loan Documents # that contain a materiality qualification, are true and correct on and as of the Increase Effective Date and # that do not contain a materiality qualification, are true and correct in all material respects on and as of the Increase Effective Date, and, except to the extent that such representations and warranties specifically refer to an earlier date, in which case they are true and correct in all material respects (or in the case of such representations and warranties that are subject to a materiality qualification, in all respects) as of such earlier date, and except that for purposes of this Section 2.9, the representations and warranties contained in Section 6.2 shall be deemed to refer to the most recent statements furnished pursuant to [subsections (a) and (b)])], respectively, of Section 7.1, and # no Default exists.

Conditions to Effectiveness of Agreement. The effectiveness of this Agreement is subject to the conditions precedent that the Agent has received evidence, reasonably satisfactory to the Agent, that all fees and (to the extent billed) expenses which are payable on or before the date hereof to the Agent or any Lender hereunder or in connection herewith have been (or concurrently with the execution of this Agreement by the parties will be) paid in full and each of the following documents (with sufficient copies for each Lender):

EFFECTIVENESS. The effectiveness of this Amendment is subject to Administrative Agent’s receipt of the following:
