Effect on Licenses. If EISAI elects to obtain a reversion as described in [Section 12.5.2(b)] below, all licenses granted to [[EPIZYME:Organization]] under Section 5.2 shall be terminated and of no further force and effect and, whether or not EISAI elects to obtain such reversion, all licenses granted to EISAI under Section 5.1 shall survive and remain in full force and effect; provided that such licenses under Section 5.1 shall be limited to [[EPIZYME:Organization]] IP, Collaboration IP, and Joint IP in each case Controlled by [[EPIZYME:Organization]] as of the effective date of termination and used as of the effective date of termination in the Development, Manufacture or Commercialization of the Licensed Compound(s) and Licensed Product(s) as they exist as of the date of termination. If EISAI does not elect to obtain a reversion as described in [Section 12.5.2(b)] below, all licenses granted to [[EPIZYME:Organization]] under Section 5.2.1 of this Agreement shall survive and remain in full force and effect; provided that such licenses under Section 5.2.1 shall be limited to EISAI IP, Collaboration IP, and Joint IP in each case Controlled by EISAI as of the effective date of termination and used as of the effective date of termination in the Development, Manufacture or Commercialization of the Licensed Compound(s) and Licensed Product(s) as they exist as of the date of termination.

Effect on Services. The grant of the Award will not give the Awardee any right to continued Services with the Company, TPG-NY or any of its Affiliates, affect the right of the Company, TPG-NY or any of its Affiliates to discharge or discipline such Awardee at any time, or affect any right of such Awardee to terminate his or her Services at any time.

Effect on Employment. Neither the grant of the Award, nor the issuance of Shares upon vesting of the Award, will give the Grantee any right to be retained in the employ or service of the Company or any of its Affiliates, affect the right of the Company or any of its Affiliates to discharge or discipline such Grantee at any time, or affect any right of such Grantee to terminate his or her Employment at any time.

Effect on Employment. Neither the grant of this Award, nor the issuance of Shares upon the vesting of this Award, will give the Participant any right to be retained in the employ or service of the Company or any of its subsidiaries, affect the right of the Company or any of its subsidiaries to discharge the Participant at any time, or affect any right of the Participant to terminate his or her Employment at any time.

Effect on Successors. This Agreement shall be binding upon and inure to the benefit of the permitted successors and assigns of the parties.

Effect on Employment. Nothing contained in this Agreement shall confer upon Participant the right to continue in the employment of Approach or any Affiliate, or affect any right which Approach or any Affiliate may have to terminate the employment of Participant. This shall not be construed as any agreement or understanding, express or implied, that Approach or any Affiliate will retain Participant as an employee for any period of time or at any particular rate of compensation or other terms and conditions of employment unrelated to Performance Units.

The provisions of this Plan shall not affect the right of the Company or any subsidiary or any Participant to terminate the Participant's employment with the Company or any subsidiary.

Effect on Employment. Neither the grant of the Stock Option, nor the issuance of Shares upon exercise of the Stock Option, will give the Participant any right to be retained in the employ or service of the Company or any of its subsidiaries, affect any right of the Company or any of its subsidiaries to discharge or discipline the Participant at any time, or affect any right of the Participant to terminate his or her Employment at any time.

Effect on Accounts. An election to modify a Payment Schedule is specific to the Account or payment event to which it applies, and shall not be construed to affect the Payment Schedules of any other Accounts.

Effect on Licenses. All licenses granted to EISAI under this Agreement shall be terminated and of no further force or effect and all licenses granted to [[EPIZYME:Organization]] under Section 5.2.1 of this Agreement shall survive and remain in full force and effect; provided that such licenses under Section 5.2.1 shall be limited to EISAI IP, Collaboration IP, and Joint IP in each case Controlled by EISAI as of the effective date of termination and used as of the effective date of termination in the Development, Manufacture or Commercialization of the Licensed Compound(s) and Licensed Product(s) as they exist as of the date of termination.
