Employment. Upon the terms and subject to the conditions contained in this Agreement, the Company hereby employs Executive as the Chief Executive Officer and President of the Company, with responsibility for overseeing and directing all operations of the Company, subject to the authority and directives of the Company’s Board of Directors (the “Board”). Executive shall diligently and conscientiously devote his substantial time and attention to the discharge of his duties as Chief Executive Officer and President.

Subject to the terms and conditions set forth in this Agreement, the Company agrees to employ Executive as CEO of the Company. In this capacity, Executive shall have the duties, authorities and responsibilities as the Board of Directors of the Company (the “Board”) shall designate from time to time. Executive shall report to the Board.

Employment. The Company hereby agrees to further employ the Executive as Chief Executive Officer (“CEO”) of the Company, effective on the Effective Date and for the duration of the Term unless terminated earlier pursuant to the terms of Section 2 below. The Executive accepts such employment and agrees to devote sufficient time, efforts and skills to diligently perform the duties of such role as shall reasonably be assigned to him by the Board of Directors of the Company (“Board”), subject to Section 3 below.

General. The Company hereby agrees to employ Executive in the position of Chief Executive Officer of the Company, upon the terms and subject to the conditions set forth herein. Executive will report directly to the Board of Directors (the "Board"). Subject to the direction and control of the Board, Executive will have all the responsibilities and powers normally associated with such position, and Executive will perform such other duties and responsibilities as may be designated from time to time by the Board.

The Company agrees to employ the Executive, and the Executive agrees to serve the Company, during the Term of Employment (as hereinafter defined), as Chief Executive Officer of the Company, with such duties consistent with such capacity as may, in good faith, be assigned to the Executive by the [[Organization A:Organization]] of the Company (the “Board”). The Executive shall perform all services to be rendered hereunder faithfully, devote the Executive’s full business time and attention to the duties assigned to the Executive hereunder and use the Executive’s best efforts to promote the business interests of the Company. The Executive certifies he can legally work in the United States of America.

Section # Employment and Duties. On the terms and subject to the conditions set forth in this Agreement, subject to the approval and ratification of Board of Directors, such approvals to be obtained prior November 15, 2014 to the Effective Date, the Company agrees to employ Executive as its Chief Executive Officer to render such services as would be customary and to render such other services and discharge such other responsibilities as the Board of Directors of the Company may, from time to time, stipulate and which shall not be inconsistent with the position listed above.

Positions and Duties. Commencing on the Effective Date, Executive will serve as President and Chief Executive Officer of the Company, reporting to the Company's Board of Directors (the "Board"). The period during which Executive is employed by the Company under this Agreement is referred to herein as the "Employment Term." During the Employment Term, Executive will render such business and professional services in the performance of his duties, consistent with Executive's position within the Company, as may be assigned to him by the Board. Executive shall be based at the Company's headquarters in [[Address A:Address]], or such other place, as may be reasonably requested by the Company.

During the Employment Term, Executive will serve as the Company’s Chief Executive Officer reporting to the Company’s Board of Directors (the “Board”), and will perform the duties, consistent with this position, as the Board may assign.

Subject to the terms of this Agreement, Executive is employed in the position of Chief Executive Officer ("CEO") of the Company, and shall perform the functions and responsibilities of that position. Additional or different duties may be assigned by the Company from time to time. Executive's position, job descriptions, duties and responsibilities maybe modified from time to time in the sole discretion of the Company.

Service with Employer. Employer hereby employs Executive in an executive capacity with the title of President and Chief Executive Officer and Executive hereby accepts such employment and undertakes and agrees to serve in such capacity. Subject to the overall policy directives of the Board of Directors (the "Board") and applicable law, in Executive's capacity as President and Chief Executive Officer, Executive shall have such powers, perform such duties and fulfill such responsibilities as are typically associated with such position in other similarly situated companies.
