Effect of Termination. In the event of the termination of this Agreement as provided in [Section 9.1], written notice thereof shall forthwith be given to the other party or parties specifying such termination is being made, and this Agreement shall forthwith become null and void, and there shall be no liability on the part of Buyer, Merger Sub or the Company or their respective directors, officers, employees, stockholders, representatives, agents or advisors.

Effect of Termination. In the event of the termination of this Agreement as provided in [Section 9.1], written notice thereof shall forthwith be given to the other party or parties specifying such termination is being made, andIf this Agreement shall forthwithbe terminated as above provided, this Agreement shall become null and void,void and therehave no effect and all obligations of the parties hereunder shall be noterminate without liability onof any party to the partother; provided however, that nothing in this [Section 9.2] shall prevent any party from seeking or obtaining damages or appropriate equitable relief for the breach of Buyer, Merger Sub or the Company or their respective directors, officers, employees, stockholders, representatives, agents or advisors.any covenant made by any other party hereto.
