Effect of Agreement; Letter Agreement to Continue in Full Force and Effect. Upon the effectiveness of this Agreement, each reference in the Letter Agreement to “Letter Agreement”, “Agreement,” “hereunder,” “hereof,” “herein” or words of like import shall mean and be a reference to such Letter Agreement as modified or amended hereby. Except as specifically modified or amended herein, the Letter Agreement and the terms and conditions thereof shall remain in full force and effect.

Continuing Effect. Except as expressly provided herein, all of the terms and provisions of the Agreement are and shall remain in full force and effect.

This letter agreement constitutes the entire agreement between the parties hereto with respect to the subject matter hereof, and may be amended or modified only in a written instrument executed by the parties hereto. In the event that any provision of this letter agreement is deemed invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of this letter agreement will not in any way be affected or impaired thereby. For the convenience of the parties, this letter agreement may be executed by PDF, facsimile and in counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one agreement binding on the parties hereto.

Continuing Force and Effect. This Agreement shall continue in force until Payment In Full.

This letter agreement amends certain terms and conditions of the Employment Agreement. All other terms and conditions of the Employment Agreement that are not modified by this letter agreement are hereby ratified and confirmed in all respects, and shall remain in full force and effect. Should there be any conflict between the terms and conditions contained in this letter agreement and the Employment Agreement, the terms and conditions of this letter agreement shall govern and control.

Effect of this Letter. This letter will take effect once signed by you and on behalf of the Company. As amended by this letter, the terms of your Employment Agreement and Retention Benefits Letter Agreement remain in effect, including, without limitation, the terms regarding termination of your employment.

Agreement in Effect. Except as hereby amended, the Partnership Agreement shall remain in full force and effect.

Full Force and Effect. Except as hereby specifically amended, modified, or supplemented by this Amendment, the Agreement is hereby confirmed and ratified in all respects by each Party and shall be and remain in full force and effect according to its terms.

This letter agreement constitutes the entire agreement and understanding of the parties hereto in respect of its subject matter and supersedes all prior understandings, agreements, or representations by or among the parties hereto, written or oral, to the extent they relate in any way to the subject matter hereof or the transactions contemplated hereby.

Continuing Effectiveness of the Supply Agreement. Except as expressly provided herein, the Supply Agreement shall remain in full force and effect, and the Parties do hereby ratify and confirm the Supply Agreement as amended hereby.
